# What domestic tax policies and compliance requirements must be followed when conducting offshore entrepot trade?

## Question

I am the head of a trading company in Shanghai mainly engaged in offshore entrepot trade with Southeast Asia. I have been too worried to sleep recently -- last month, two batches of transshipped natural rubber products triggered a compliance warning from the tax bureau during tax declaration. The small freight forwarder we cooperated with before gave ambiguous policy interpretations, saying we could enjoy tax exemption policies for a while, and then saying we need to declare as deemed sales later. We have been tossing around for nearly two weeks but still haven't sorted it out. Now I'm afraid of stepping into pitfalls again that lead to large fines, affect the enterprise's credit, or even lead to cargo detention and seizure at the port. I really can't figure out what domestic and cross-border tax policies are involved in entrepot trade? What are the policy differences under different cargo circulation modes? What are the specific requirements for declaration and reduction and exemption?

### Answer 1 — Best Answer

First of all，two common misunderstandings in the field of entrepot trade taxation need to be exposed: First，it is mistakenly believed that all entrepot trade can enjoy tax exemption policies. In fact，only pure offshore entrepot trade with "cargo not entering the territory" meets the tax exemption requirements，and entrepot trade transshipped through bonded zones must be declared in accordance with bonded supervision rules. Second，the declaration caliber of entrepot trade and general trade is confused，and entrepot goods are incorrectly declared as domestic sales，which is also the core reason for triggering tax bureau warnings.

If you fall into such misunderstandings，it will trigger a chain of negative reactions: in mild cases，it will trigger tax bureau compliance warnings，requiring payment of overdue fines and accepting interviews，in severe cases，it will be listed as a key inspection object，facing a fine of 0.5 to 5 times the tax amount，the enterprise's credit rating will be downgraded，and even the goods will be detained or seized at the port by the customs due to tax-related issues，resulting in high storage fees and container detention fees. In severe cases，it will also affect the approval of subsequent import and export qualifications.

In response to such risks，risks can be isolated through three measures: **strictly distinguishing cargo flow directions**，**three-stream consistency of documents**，and establishing a **double-audit mechanism**: First，for offshore entrepot trade，ensure that the goods do not enter the territory throughout the whole process，and those transshipped through bonded zones need to complete bonded filing in advance. Second，the bill of lading，trade contract and foreign exchange payment voucher must be uniformly marked with "entrepot trade" to clarify the three-stream consistency. Third，internal finance and external professional agency institutions shall double-audit the declaration materials.

Exclusive loss-stopping tip: If a tax bureau warning has been triggered，the *Entrepot Trade Compliance Statement* shall be submitted within 3 working days，attached with complete logistics trajectories，capital flow records and original documents，apply for review by the tax bureau，and voluntarily pay any possible overdue fines to avoid the warning being upgraded to a formal inspection.

### Answer 2

The customs declaration link of entrepot trade must strictly meet the requirements of tax policies, and the core is to clarify the "pure transit attribute" of the goods. When declaring customs, the *Special Declaration Form for Entrepot Trade Goods* shall be submitted, together with core documents such as full-way bill of lading, trade contracts between overseas buyers and sellers, and cross-border foreign exchange payment vouchers, to ensure that the "trade mode" column on the customs declaration form is accurately marked with "entrepot trade (0110)"; for entrepot goods transshipped through bonded zones, it shall be marked with "bonded zone entrepot (0130)", and the bonded goods filing procedures shall be completed at the same time. If the customs declaration is incorrectly filled in as general trade, it will be deemed as domestic sales, triggering mandatory declaration requirements for value-added tax and consumption tax, and will also trigger joint verification by the customs and the tax bureau, and even be listed as a key supervision object. In addition, if the goods stay in the bonded zone for more than 90 days, it is necessary to go through the extension filing procedures with the customs in advance, otherwise it will be regarded as domestic imported goods, and you need to pay full import tariff, value-added tax and overdue fines.

### Answer 3

The logistics path of entrepot trade directly determines the scope of application of tax policies, and the core is to ensure that goods do not enter the domestic tariff collection area. If the pure offshore entrepot mode is selected, the goods shall be arranged to sail directly from the overseas port of departure to the overseas port of destination, and only the document production and fund receipt and payment operations shall be completed through domestic agents.

This mode can enjoy the full domestic tax exemption policy; if it is necessary to transship through the domestic bonded zone due to tight shipping space, logistics costs and other reasons, it is necessary to ensure that the goods are under the customs bonded supervision throughout the whole process, and shall not enter the domestic non-bonded area for storage, processing and other operations, otherwise it will be deemed as domestic imported goods, and full import tariff, value-added tax and overdue fines shall be paid. In addition, the logistics trajectory must be traceable throughout the whole process, including documents such as sea waybills, air waybills, bonded zone inbound and outbound warehouse receipts, and cargo positioning data shall be logically consistent. If the trajectory is interrupted or the documents are inconsistent, it will directly trigger the tax bureau's compliance warning, resulting in the cancellation of tax preferential qualification.

### Answer 4

The core judgment standard of the tax policy for entrepot trade is "whether the cargo flow enters the domestic tariff collection area": under the pure offshore entrepot mode, the goods sail directly from the overseas port of departure to the overseas port of destination and do not enter any domestic area, so the entrepot income does not belong to domestic taxable income, and there is no need to pay value-added tax and consumption tax, only need to file cross-border income and expenditure with the tax bureau in accordance with regulations; for entrepot trade transshipped through bonded zones, the goods are under customs bonded supervision throughout the whole process and do not enter the domestic non-bonded area, so there is also no need to pay import-related taxes, but the bonded goods inbound and outbound filing procedures shall be completed in accordance with the management regulations of the bonded zone; if the goods enter the domestic non-bonded area for any reason, regardless of whether they are sold domestically, they shall be deemed as domestic imported goods, and full import tariff, value-added tax and consumption tax shall be paid.

In addition, the profit part of entrepot trade shall be included in the scope of the enterprise's annual income tax final settlement. If the overseas profit has paid income tax overseas, tax credit can be applied for in accordance with the provisions of domestic and foreign tax agreements, but complete documents such as overseas tax payment certificates and profit distribution certificates shall be provided.

### Answer 5

The foreign exchange receipt and payment operation of entrepot trade shall be compliant with the tax policy simultaneously, and the core is to ensure the "three-stream consistency" of capital flow, cargo flow and document flow. When receiving and paying foreign exchange, it is necessary to clearly mark "foreign exchange receipt and payment under entrepot trade" in the transaction remarks column of the SWIFT message or CIPS payment instruction, and submit corresponding core documents such as full-way bill of lading, trade contracts between overseas buyers and sellers, and invoices to the bank at the same time; if the difference between the amount of foreign exchange received and paid and the amount agreed in the contract exceeds 5%, a formal deviation explanation shall be submitted to the bank to clarify the reason for the deviation, otherwise it will be listed as a suspicious transaction, triggering joint verification by the foreign exchange bureau and the tax bureau.

In addition, if an offshore account is used to carry out foreign exchange receipt and payment operations for entrepot trade, annual account use filing shall be carried out with the foreign exchange bureau in accordance with regulations. If the capital flow scale of the account is seriously inconsistent with the entrepot trade business scale of the enterprise, the account's foreign exchange receipt and payment authority will be restricted, affecting subsequent tax declaration and capital turnover, and even leading to the enterprise being listed as a key object of foreign exchange supervision.

### Answer 6

The contract terms of entrepot trade shall clearly stipulate the pure transit attribute of the goods to avoid incorrect application of tax policies due to vague contract expressions. The main contract between overseas buyers and sellers shall clearly mark "this contract is an exclusive contract for entrepot trade, and the goods will not enter the domestic non-bonded supervision area throughout the whole process", and specify logistics details such as the port of departure, port of destination, and transshipment port (if involving bonded zone transshipment) of the goods in detail, and at the same time clarify that the transfer node of the ownership of the goods is after loading at the overseas port of departure, so as to avoid disputes over the determination of domestic taxable income caused by the transfer of ownership.

In addition, if the entrepot trade involves a domestic third-party agent, the specific responsibilities of the agent for document production, tax declaration, logistics supervision and other aspects shall be clearly stipulated in the agency contract. If tax violations, warnings or fines are caused by the agent's operational errors, clear liability for compensation and exemption clauses shall be agreed to avoid the enterprise bearing unnecessary economic losses and credit impact. If the entrepot attribute is not clearly specified in the main contract, the tax bureau may regard it as a general trade contract and require the enterprise to pay full value-added tax, consumption tax and relevant overdue fines.

### Answer 7

Entrepot trade is not within the scope of application of the domestic export tax rebate policy. It is necessary to strictly distinguish the declaration caliber between entrepot trade and general export trade to avoid triggering tax rebate audit risks due to confusion.

If an enterprise mistakenly declares entrepot trade income as general export trade income to apply for export tax rebate, it will directly trigger the export tax rebate audit warning of the tax authority, leading to the suspension of the enterprise's export tax rebate qualification, and the enterprise needs to repay the already refunded tax and pay overdue fines charged on a daily basis. In serious cases, it will also be listed as an export tax rebate dishonest enterprise.

In addition, all documents of entrepot trade shall be filed and kept separately, including full sea/air waybills, trade contracts between overseas buyers and sellers, cross-border foreign exchange receipt and payment vouchers, tax declaration forms, etc., and the storage period shall be no less than 10 years; if complete document materials cannot be provided when the tax bureau or customs carries out compliance inspection, it will be regarded as illegal operation, facing a fine of 0.5 to 5 times the tax amount and enterprise credit rating downgrade. If an enterprise carries out general export trade and entrepot trade business at the same time, it is necessary to completely separate the income, cost and documents of the two types of business in the financial accounting system, and establish an independent accounting ledger to avoid incorrect application of tax policies due to accounting confusion.

### Answer 8

The supply chain architecture design of entrepot trade shall closely match the requirements of domestic and foreign tax policies, and the core is to optimize the collaborative path of cargo flow, capital flow and document flow. If an enterprise chooses an overseas offshore company as the main body of entrepot business, it can effectively reduce the collection and management risk of domestic taxation, but it is necessary to ensure that the income of the offshore company meets the tax policy requirements of the registered place to avoid triggering overseas tax inspection; if a domestic company is used as the main body of entrepot business, it is necessary to strictly distinguish whether the cargo flow enters the domestic tariff collection area.

The income of pure offshore entrepot does not belong to domestic taxable income, and there is no need to pay value-added tax and consumption tax. Entrepot trade transshipped through bonded zones shall complete the filing procedures in accordance with the customs bonded management regulations. In addition, the supply chain architecture design shall fully consider the application of cross-border tax agreements.

If the country involved in entrepot trade has signed a bilateral tax agreement with China, it can enjoy preferential tax treatment for income such as dividends, interest and royalties, effectively reducing the overall tax cost of the enterprise. Unreasonable supply chain architecture design will lead to problems such as double taxation at home and abroad, loss of tax preferential qualification, which will greatly increase the operating cost and compliance risk of the enterprise.

"text": "The supply chain architecture design of entrepot trade shall closely match the requirements of domestic and foreign tax policies, and the core is to optimize the collaborative path of cargo flow, capital flow and document flow. Unreasonable supply chain architecture design will lead to problems such as double taxation at home and abroad, loss of tax preferential qualification, which will greatly increase the operating cost and compliance risk of the enterprise.",
