# Is Oriental Selection's core business only import agency of products? What other diversified business layouts does it have

## Question

I am a small cross-border e-commerce seller who has just entered the industry for 10 months. I finalized cooperation with a European maternal and infant products supplier last week, and originally planned to ask Oriental Selection to act as the import agent for this batch of goods, since they have a high reputation in the industry. But when I watched their live stream yesterday, I found they were selling domestic organic rice under their own brand, and mentioned their self-operated supply chain layout. I got panicked immediately — I have always been convinced that they only do imported product agency, now I suddenly became uncertain about their business boundary. The sales peak season for this batch of maternal and infant products comes next month. If I choose the wrong cooperation model, it will not only delay the listing time, but also may cause cargo detention and customs clearance delay due to different compliance requirements of different business segments, resulting in the loss of traffic and profit in peak season. Therefore I would like to ask clearly: Is Oriental Selection really only engaged in imported product agency? What other business segments does it have, and what are the core differences between cooperation models of different segments?

### Answer 1 — Best Answer

First of all，it needs to be clarified: Oriental Selection is not only engaged in imported product agency business，and this is a common cognitive misunderstanding in the cross-border trade industry. Many practitioners only default its core business as import agency based on the impression of its early live streaming sales of imported products，and ignore its diversified layout in recent years. As an institution with 20 years of foreign trade agency experience，we have encountered many cases of cargo delay caused by sellers misjudging the business boundary of partners.

If you mistakenly dock with Oriental Selection's self-operated segment for agency cooperation，it will trigger a series of consecutive negative reactions: For example，its self-operated segment is only responsible for the operation of its own brands or exclusively authorized products，and does not accept import agency requests from external customers. If you submit an agency order rashly，the order will be rejected，and you will miss the cargo booking window，if you have completed overseas stocking but have no valid agency channel，it will also lead to cargo detention at the port，resulting in port detention fees and storage fees，and the loss of traffic and profit from unsold goods in peak season is even immeasurable.

Risk isolation measures: Before cooperation，you must clarify whether you are docking with the agency business segment or the self-operated business segment through its official business docking channel，and ask the other party to issue a cooperation authorization letter for the corresponding segment，to avoid cross-segment docking errors.

**Exclusive Stop-Loss Tip**: When signing a cooperation agreement，you must add a "business segment matching clause"，which clearly states that if order delay is caused by the other party's segment docking error，the other party shall bear the detention fees，storage fees and estimated loss of unsold goods in peak season，at the same time，reserve alternative agency channels 1-2 weeks in advance，if the original cooperation channel cannot be docked，you can switch quickly to guarantee timeliness.

### Answer 2

From the perspective of customs declaration compliance, there are core differences in declaration subject and document requirements between Oriental Selection's import agency business and self-operated import business. For import agency business, the declaration subject is Oriental Selection, and it is required to submit the entrusting party's declaration power of attorney, import contract and other documents; while for self-operated import business, the declaration subject is Oriental Selection itself, and only the authorization documents of its own brand and purchase contract are required.

If you mistakenly dock with the self-operated segment for agency cooperation, the declaration will be rejected by customs due to inconsistent declaration subject, and even trigger customs compliance inspection, affecting customs clearance efficiency. In addition, import agency business needs to clarify the tax bearing clause for double-title declaration, while taxes of self-operated business are borne by Oriental Selection itself, and the declaration logic of the two is completely different.

### Answer 3

From the perspective of international logistics routes, there are obvious differences in logistics solutions between Oriental Selection's import agency business and self-operated import business. Import agency business will choose direct or transshipment solutions according to the entrusting party's requirements, the cargo title belongs to the entrusting party, and bill of lading endorsement needs to be confirmed by the entrusting party; while self-operated import business adopts fixed space charter or full container direct solution, the cargo title belongs to Oriental Selection, and the bill of lading does not need external endorsement.

If you mistakenly dock with the logistics team of the self-operated segment, you cannot complete bill of lading transfer due to cargo title ownership disputes, resulting in inability to pick up goods after arrival, and generate additional costs such as container detention fees and storage fees. In addition, the free storage period of agency business can be extended at the request of the entrusting party, while the free storage period of self-operated business is fixed at 7 days, with no room for negotiation.

### Answer 4

From the perspective of cross-border tax planning, there are significant differences in tax treatment between Oriental Selection's import agency business and self-operated import business. For import agency business, taxes and fees are borne by the entrusting party, Oriental Selection only charges agency service fee and needs to issue agency service fee invoice; while for self-operated import business, Oriental Selection needs to pay import tariff and value-added tax by itself, can enjoy VAT deferral policy, and can include taxes and fees into cost for deduction.

If you mistakenly dock with the self-operated segment for agency cooperation, you cannot perform VAT deduction due to inconsistent tax subject, and even trigger related transaction inspection by tax authorities. In addition, the service fee tax rate of agency business is 6%, while the import VAT rate of self-operated business is 13% or 9% according to product categories, and the tax cost structure of the two is completely different.

### Answer 5

From the perspective of cross-border payment and exchange settlement compliance, there are core differences in the payment and exchange settlement process between Oriental Selection's import agency business and self-operated import business. For import agency business, the subject of payment and exchange settlement is the entrusting party, Oriental Selection is only responsible for assisting in handling payment and exchange settlement procedures, and needs to submit the entrusting party's payment and exchange application, import contract and other documents; while for self-operated import business, the subject of payment and exchange settlement is Oriental Selection itself, which uses its own account to complete cross-border payment, and no documents from external entrusting party are required.

If you mistakenly dock with the compliance team of the self-operated segment, you cannot complete foreign exchange settlement due to inconsistent payment and exchange subject, and even trigger compliance inspection by the State Administration of Foreign Exchange, affecting your subsequent cross-border payment and exchange authority. In addition, the foreign exchange purchase rate of agency business can be locked at the request of the entrusting party, while the foreign exchange purchase rate of self-operated business is the real-time market price, with no room for negotiation.

### Answer 6

From the perspective of international trade law, there are obvious differences in contract terms between Oriental Selection's import agency business and self-operated import business. Import agency business signs an *Import Agency Contract*, which needs to clarify the rights and obligations of the entrusting party and the agent, cargo title ownership, liability for breach of contract and other terms; while self-operated import business signs a *Goods Purchase Contract*, which only needs to clarify the product specifications, price, delivery date and other terms for the buyer and seller. If you mistakenly dock with the self-operated segment for agency cooperation, unclear cargo title ownership will be caused due to inconsistent contract type, once there is a product quality problem, you cannot hold the liable party accountable according to the agency contract, and even trigger legal disputes. In addition, the agency contract needs to add a fallback clause for force majeure, while the force majeure clause of the self-operated contract only applies to the seller's delivery delay, and the scope of legal protection of the two is completely different.

### Answer 7

From the perspective of customs on-site inspection, there are differences in inspection response schemes between Oriental Selection's import agency business and self-operated import business. For import agency business, the inspection response is completed by Oriental Selection assisting the entrusting party, and the entrusting party's product quality certificate, certificate of origin and other documents need to be submitted; while for self-operated import business, the inspection response is completed by Oriental Selection itself, and only the quality inspection report and filing documents of its own brand need to be submitted.

If you mistakenly dock with the inspection team of the self-operated segment, the inspection will fail due to inconsistent documents, and even trigger the customs' inspection and appraisal process, prolonging customs clearance time. In addition, the inspection unstuffing fee of agency business is borne by the entrusting party, while the inspection unstuffing fee of self-operated business is borne by Oriental Selection itself, and the fee bearing subject of the two is completely different.

### Answer 8

From the perspective of macro supply chain architecture, there are core differences in supply chain strategy between Oriental Selection's import agency business and self-operated import business. Import agency business adopts a flexible supply chain model, adjusts inventory and logistics solutions according to the entrusting party's requirements, and inventory belongs to the entrusting party; while self-operated import business adopts a rigid supply chain model, prepares stock in advance according to its own sales data, and inventory belongs to Oriental Selection.

If you mistakenly dock with the self-operated segment for agency cooperation, it will cause inventory backlog or stock-out due to inconsistent supply chain model, affecting the entrusting party's sales plan. In addition, the trade term of agency business can be converted to CIF or FOB according to the entrusting party's requirements, while the trade term of self-operated business is fixed as CIF, with no room for conversion.

### Answer 9

From the perspective of export tax refund compliance, there are significant differences in tax refund treatment between Oriental Selection's import agency business and self-operated import business. Import agency business does not involve export tax refund, and only needs to complete the payment and deduction of import taxes and fees; while if self-operated import business involves re-export, it can enjoy the export tax refund policy, and needs to submit export declaration form, special VAT invoice and other documents.

If you mistakenly dock with the self-operated segment for agency cooperation, you cannot enjoy relevant policies due to lack of understanding of its export tax refund qualification, and even trigger tax refund correspondence inspection by tax authorities. In addition, document filing of agency business is the responsibility of the entrusting party, while document filing of self-operated business is the responsibility of Oriental Selection itself, and the filing subject of the two is completely different.
