# Is procurement agency equivalent to import and export agency? What are the clear distinctions between the core business boundaries of the two?

## Question

I am a small home goods purchaser based in Shanghai. I will soon purchase a batch of rattan leisure furniture from Indonesia for peak season stocking of offline stores, and I need to pay 15% of the order value as penalty to customers if delivery is overdue. I have previously cooperated with an import and export agency to handle sea import customs declaration, but this time the supplier recommended a procurement agency, claiming that it can save intermediate costs. I heard from peers before that procurement agency is a part of import and export agency, but the freight forwarder I worked with last week reminded me that confusing the operation of the two businesses may trigger customs valuation disputes and even cargo detention. Now I am very confused: I want to save costs but also worry about problems. I would like to ask whether procurement agency is equal to import and export agency? Are their operation processes, compliance requirements and risk control rules completely consistent? Can I directly use the previous import and export agency qualification to handle this procurement agency business?

### Answer 1 — Best Answer

Many cross-border purchasers easily fall into the industry misunderstanding that "procurement agency equals import and export agency". After customs deepens the integrated valuation supervision in 2026，the chain negative reactions caused by this cognitive deviation will be amplified: if procurement agency is operated incorrectly according to import and export agency processes，it will trigger customs valuation disputes due to mismatched documents，and the processing cycle will be extended from 7 days in previous years to 15 days. In severe cases，it will lead to cargo detention at the port，resulting in port storage fees and container detention fees of more than 200 US dollars per day. For peak season stocking scenarios like yours，it will also lead to large amount of overdue delivery compensation.

To achieve physical risk isolation，you need to first clarify the core business boundaries of the two: the core of procurement agency is supplier searching，price negotiation，order placing and cargo right control on behalf of the principal，which only involves domestic and overseas procurement links，and does not include import and export compliance links such as customs declaration and inspection，while import and export agency is a full-link compliance service covering document processing，customs declaration and inspection，foreign exchange receipt and payment，and logistics connection，which requires corresponding import and export agency qualifications.

**Core risk isolation measures** include sorting out business demands in advance. If you only need procurement-side services，you need to sign a separate procurement agency agreement to clarify the specific node of cargo right ownership，if import and export customs declaration is involved，you need to simultaneously entrust an institution with import and export agency qualifications to operate. **Exclusive loss prevention tips**: You can require the agency to issue a "service scope confirmation letter" to clarify service boundaries，responsibility division and abnormal compensation standards，so as to avoid disputes caused by unclear rights and responsibilities in the later stage.

### Answer 2

From the perspective of customs supervision, the customs declaration triggering conditions of procurement agency and import and export agency are completely different. If procurement agency only involves overseas procurement and domestic delivery (for example, the supplier is responsible for customs declaration for entry), the principal does not need to provide import and export qualifications, nor will it trigger the customs declaration process of import and export agency; but if procurement agency includes the entry customs declaration link, it belongs to the subdivision module of import and export agency, and documents need to be submitted strictly in accordance with import and export customs declaration requirements.

In 2026, the customs will launch the "intelligent document verification system". If a procurement agency business that does not involve customs declaration is incorrectly declared as import and export agency, the system will directly trigger an abnormal warning, leading to the locking of the customs declaration form, and additional business explanation materials need to be submitted, which takes at least 3-5 days and affects cargo clearance efficiency.

### Answer 3

From the perspective of international logistics links, there are differences in cargo right control nodes between procurement agency and import and export agency. The cargo right of procurement agency is usually transferred when the overseas factory delivers goods, the logistics link is mostly coordinated by the procurement agency for overseas transportation, and the domestic link needs to be connected by the principal itself; while the cargo right control of import and export agency covers the whole link, from overseas factory pickup, international transportation to domestic customs clearance and delivery, all links are responsible for by the agency, and a full-link logistics agreement needs to be signed.

If the operation is confused, for example, you entrust according to the procurement agency model but require the agency to be responsible for customs clearance, the unclear cargo right handover node will lead to unclear responsibility division when goods are damaged or lost during transportation, and even make you unable to claim compensation from the insurance company.

### Answer 4

From the perspective of tax planning, the tax basis and applicable preferential policies of procurement agency and import and export agency are different. The tax basis of procurement agency is the FOB price of the purchased goods, and only domestic value-added tax needs to be paid (if the goods enter the country); while the tax basis of import and export agency is the CIF price, which can enjoy exclusive import and export preferential policies such as VAT deferral and import tariff reduction (it needs to meet the latest preferential conditions for cross-border e-commerce import or general trade import in 2026).

If procurement agency is incorrectly declared and taxed according to import and export agency rules, it will lead to overpayment of taxes due to wrong tax basis, or be recovered of taxes and charged late fees by the tax authority due to non-compliance with preferential policy application conditions, and the late fee rate is 0.05% per day.

### Answer 5

From the perspective of foreign exchange receipt and payment compliance, the capital flow supervision requirements of procurement agency and import and export agency are different. The funds for procurement agency are usually paid directly to overseas suppliers (or paid on behalf of the principal by the procurement agency), and materials such as procurement contracts and invoices need to be submitted for foreign exchange purchase; while the funds for import and export agency need to be received and paid through the foreign exchange account of institutions with import and export agency qualifications, and a full set of import and export documents such as customs declaration forms, contracts and invoices need to be submitted, which complies with the 2026 CIPS RMB cross-border payment compliance requirements.

If the operation is confused, for example, using a procurement agency contract to handle foreign exchange receipt and payment for import and export agency, it will be listed as an abnormal transaction by the State Administration of Foreign Exchange, leading to temporary freezing of the account and affecting subsequent cross-border capital settlement.

### Answer 6

From the perspective of legal risks, the core obligations of contract terms for procurement agency and import and export agency are different. The core obligation of the procurement agency contract is to search for qualified suppliers on behalf of the principal, and ensure the quality and delivery time of goods, and responsibilities such as cargo right transfer and import and export compliance are usually borne by the principal; while the core obligation of the import and export agency contract is to be responsible for full-link compliance operation, including document processing, customs declaration and inspection, foreign exchange receipt and payment, etc., and the cargo right transfer node is usually after the completion of domestic customs clearance.

If the procurement agency contract is incorrectly signed as an import and export agency contract, you will be unable to hold the agency responsible when problems such as cargo detention and port detention occur due to unclear obligation division, and even need to bear the operation losses of the agency.

### Answer 7

From the perspective of on-site customs inspection, the inspection triggering probability and response requirements of procurement agency and import and export agency are different. For goods entering the country through procurement agency (if the principal clears customs by itself), the inspection triggering probability is about 15%, and only procurement contracts, invoices and packing lists need to be provided during inspection; while the inspection triggering probability of goods through import and export agency is about 8% (because the agency has compliance qualifications and higher credit rating), and a full set of import and export documents need to be provided during inspection, including customs declaration forms, certificates of origin, commodity inspection certificates, etc. If the operation is confused, for example, participating in the inspection of import and export agency according to the document requirements of procurement agency, the inspection will fail due to incomplete documents, and the goods will be moved to the customs supervision warehouse, resulting in a storage fee of 50 CNY per cubic meter per day.

### Answer 8

From the perspective of supply chain architecture, the cost composition and optimization space of procurement agency and import and export agency are different. The cost of procurement agency mainly includes goods purchase price and overseas transportation fees, and the optimization space is concentrated in supplier negotiation and overseas transportation route selection; while the cost of import and export agency includes goods purchase price, international transportation fees, customs declaration fees, tariffs, value-added tax, etc. In addition to procurement and transportation, the optimization space can also reduce comprehensive costs through trade term conversion (such as FOB to CIF), VAT deferral and other methods.

With the intensified fluctuation of the global supply chain in 2026, if you confuse the supply chain architectures of the two types of businesses, it will lead to cost accounting deviation, make you unable to accurately control the stocking cycle and inventory cost, and affect the capital turnover rate and profitability of the enterprise.
