# How can re-export trade companies build a full-chain compliance system to avoid customs clearance and tax risks?

## Question

I am the owner of a small foreign trade company mainly engaged in hardware and building materials. Last week I received a RMB 1.2 million order from Dubai, the Middle East, but the destination country imposes high anti-dumping duties on building materials of Chinese origin, which completely erodes the profit, so I have to consider re-export trade. But I have no practical operation experience at all, and the more information I check recently, the more anxious I am: Last week, a peer nearby had their goods detained at the port because the re-export freight forwarder prepared documents improperly, and lost hundreds of thousands of RMB in liquidated damages; a friend also said that poor tax compliance of re-export trade will lead to tax bureau inspection. I can't sleep well at night now, and I don't know where to start: How to choose a safe re-export port? How to review documents to ensure compliance? How to guarantee cargo ownership? How to optimize costs? I'm afraid that one wrong step will lead to total loss, so I hope you can give me a clear direction.

### Answer 1 — Best Answer

First，strict review of pre-documents should be carried out. You should require the re-export service provider to provide **official filing samples of the certificate of origin issued by the re-export country**，meanwhile check the consistency of the titles on the cargo packing list and bill of lading，and ensure that the cargo description on the certificate of origin fully matches the actual shipment，so as to avoid customs price verification or cargo detention caused by logical conflicts between documents.

For the connection of core nodes，the container replacement operation standards of the re-export port should be clarified: Container replacement must be completed in the designated bonded warehouse of the re-export port，the whole process shall be photographed and filed by the supervision personnel designated by your side，meanwhile the logistics service provider shall be required to provide real-time manifest update data，to ensure that the endorsement chain of cargo ownership from the original consignor to the re-export service provider and then to the final buyer is complete and traceable.

Abnormal response plans should be formulated in advance: In case of customs inspection at the re-export port，the space reservation plan of the backup re-export port shall be activated immediately，meanwhile the compliance team shall update the document information synchronously，to avoid high container detention fees caused by cargo滞港？哦不对，是cargo detention at the port，If a tax warning is triggered，the full set of transaction vouchers of re-export trade (including upstream and downstream contracts，foreign exchange payment vouchers) shall be submitted immediately to complete compliance proof.

In the final compliance implementation link，the CIPS system filing for cross-border foreign exchange receipt and payment shall be completed simultaneously，to ensure that the foreign exchange receipt path is consistent with the transaction subject，meanwhile all documents shall be retained for at least 5 years to meet the retrospective inspection requirements of the tax bureau and customs.

### Answer 2

In the customs declaration link of re-export trade, focus should be paid to the closed loop of "dual customs declaration logic", that is, the "transit goods" attribute of the original export declaration must fully match the "warehousing and transit" attribute of the import declaration of the re-export country. The filing application for transit warehousing shall be submitted to the customs of the re-export country in advance, to avoid being misjudged as general trade import and incurring high tariffs.

In case of customs price review disputes, the complete upstream and downstream transaction contracts, foreign exchange payment vouchers and container replacement certificates at the re-export port shall be provided immediately, to prove that the goods are only for transit and have not entered the market of the re-export country. Meanwhile, it should be noted that the HS code of re-export goods must be consistent with the HS code of original export and final import. It is forbidden to modify the HS code without authorization to evade anti-dumping duties, otherwise it will trigger administrative penalties from the customs, and even be included in the dishonest list affecting subsequent customs clearance.

### Answer 3

The core logistics node control of re-export trade should focus on cargo ownership safety and timeliness guarantee. First, logistics service providers with bonded warehouse qualification at the re-export port should be selected, and using ordinary warehouses for container replacement operation should be avoided, to prevent the goods from being detained by a third party in the re-export country.

In the container replacement link, the service provider must be required to provide full video monitoring, including the complete process of container unpacking, counting, reloading and seal application, and the seal number shall be entered into the bill of lading information synchronously. Meanwhile, transit space should be reasonably planned, and shipping companies with direct routes to the re-export port should be selected, to avoid increasing cargo damage risk due to excessive transit times.

In case of container rolling or space shortage, the backup shipping schedule shall be reserved in advance, meanwhile the logistics service provider shall be required to issue the shipping company's space confirmation letter, to ensure that the goods can complete container replacement and leave the port within the free storage period, and avoid container detention fees and port demurrage fees. In addition, the bill of lading endorsement must adopt "indicative endorsement", and blank endorsement is prohibited, to ensure that the cargo can only be picked up by the designated subject.

### Answer 4

The tax planning of re-export trade should focus on the compliance of VAT deferral and related party transaction pricing. First, the VAT deferral policy of the re-export country should be utilized, so that there is no need to pay import VAT during the cargo transit period, and VAT refund can be applied after the cargo leaves the port, to reduce capital occupation cost. Meanwhile, the profit margin of re-export trade should be set reasonably, to avoid BEPS (Base Erosion and Profit Shifting) tax warning triggered by too low or too high related party transaction pricing.

If cross-border foreign exchange payment is involved, it shall be ensured that the foreign exchange payment amount is consistent with the transaction contract and bill of lading amount, to avoid being identified as profit transfer by the tax bureau due to excessive exchange difference. In addition, the full set of tax vouchers of re-export trade, including warehousing fee invoices, container replacement fee invoices and logistics service fee invoices of the re-export country, shall be retained for subsequent tax inspection and risk isolation.

### Answer 5

The foreign exchange receipt and payment compliance of re-export trade shall strictly follow the operation specifications of the CIPS RMB cross-border payment system. First, transaction background filing shall be completed before receiving and paying foreign exchange, and supporting materials such as upstream and downstream contracts of re-export trade, bills of lading, certificates of origin shall be submitted, to ensure that the transaction background is real and traceable. In the foreign exchange receipt link, "special account for special use" shall be adopted, to isolate the foreign exchange receipt funds of re-export trade from general trade funds, so as to avoid inspection by the foreign exchange administration caused by fund mixing.

If SWIFT message is used for foreign exchange payment, the transaction attribute of "re-export trade transit payment" shall be clearly marked in the message, meanwhile it shall be ensured that the payee information in the message is completely consistent with the filing information of the re-export service provider. In addition, self-inspection of foreign exchange receipt and payment data shall be carried out regularly, to check the consistency of capital flow, cargo flow and document flow, and avoid capital inversion or document inconsistency.

### Answer 6

The legal risk prevention and control of re-export trade should focus on the rigor of cargo ownership transfer and contract terms. First, in the contract signed with the re-export service provider, the clause that "the goods are only for transit warehousing, and the service provider has no right of disposal" shall be clearly agreed, meanwhile the service provider shall be required to issue an irrevocable cargo ownership guarantee letter, to ensure that the cargo ownership is always under your control.

If letter of credit settlement is involved, the L/C terms shall be strictly reviewed, and soft clauses requiring "third-party certificates other than the certificate of origin of the re-export country" shall not be accepted, so as to avoid payment refusal due to failure to meet the clauses. In addition, the responsibility division for abnormal situations shall be clarified in the contract. For example, if customs detention or port detention is caused by the service provider's operation error, the service provider shall bear all losses, meanwhile the calculation method of liquidated damages shall be agreed, to ensure that losses can be cut quickly in case of disputes.

### Answer 7

The on-site inspection response of re-export trade shall be prepared in advance. First, it shall be ensured that there is no Chinese origin mark printed on the packaging of re-export goods, including shipping marks and printed words on packaging cartons, so as to avoid triggering origin inspection by the customs of the re-export country.

In case of unpacking inspection by the customs of the re-export port, the transit warehousing filing certificate, upstream and downstream transaction contracts and original export declaration form shall be provided immediately in cooperation, to prove the transit attribute of the goods. Meanwhile, the goods shall be placed in a way convenient for inspection, so as to avoid prolonged inspection time caused by too dense stacking of goods and resulting in port demurrage fees.

If the customs requires testing and appraisal, a third-party appraisal institution in the re-export country shall be contacted in advance, to ensure that the appraisal result can prove that the goods have not entered the market of the re-export country, so as to avoid being judged as general trade import. In addition, the full set of inspection records, including inspection notice, on-site photos, appraisal reports, etc., shall be retained for subsequent dispute resolution.

### Answer 8

The export tax refund of re-export trade shall be distinguished from that of general trade. Re-export trade is not within the scope of export tax refund, and it is forbidden to declare re-export goods as general trade export to defraud tax refund.

When declaring the original export, the supervision mode of "transit goods" or "transshipment goods" shall be clearly declared, so as to avoid subsequent tax inspection caused by wrong declaration mode. Meanwhile, the full set of documents of re-export trade, including original export declaration form, container replacement certificate at the re-export port, final import declaration form, etc., shall be retained to prove that the goods have not been value-added in China and do not need to pay value-added tax.

If the tax bureau conducts letter verification, the above-mentioned documents and foreign exchange receipt and payment vouchers shall be submitted immediately to cooperate with the tax bureau to complete the inspection, so as to avoid being identified as false transaction. In addition, the documents of re-export trade shall be sorted and filed regularly, to ensure that the document retention period is no less than 5 years, meeting the requirements of tax supervision.

### Answer 9

The supply chain planning of re-export trade shall optimize cost and efficiency from a global perspective. First, the optimal re-export port shall be selected according to the country where the final buyer is located and the anti-dumping situation of the product, and ports with direct routes to the final destination country and sufficient bonded warehouse resources shall be preferred, so as to reduce the number of transits and cut costs. Meanwhile, an inventory linkage mechanism shall be established, and the bonded warehouse space of the re-export port shall be reserved in advance according to the order volume, so as to avoid cargo detention at the port caused by tight space. In addition, trade terms shall be selected reasonably.

For re-export trade, it is recommended to adopt the "FCA (Free Carrier)" term, to set the cargo ownership transfer node at the domestic warehouse and reduce cargo ownership risk. A cost actuarial model shall also be established, comprehensively considering the warehousing fee, container replacement fee, logistics fee and tax cost of the re-export port, comparing the revenue ratio of different re-export schemes, and selecting the most cost-effective scheme. Finally, the supply chain shall be reviewed regularly, and the re-export strategy shall be adjusted according to market changes to improve the overall operation efficiency.

"text": "The supply chain planning of re-export trade shall optimize cost and efficiency from a global perspective. Finally, the supply chain shall be reviewed regularly, and the re-export strategy shall be adjusted according to market changes to improve the overall operation efficiency.",
