# What specific compliance conditions must be met for re-export trade foreign exchange collection to effectively avoid account freezing?

## Question

I am the head of a foreign trade enterprise mainly engaged in re-export trade in Southeast Asia, and I have been extremely worried recently. Last month, we completed an order for natural rubber re-exported from Malaysia to the EU. When collecting foreign exchange, the bank blocked the payment on the grounds of "inconsistent document logic", and the fund has been suspended for more than two weeks, which made our company unable to pay the upstream payment for goods, and we almost breached the contract. I also heard before that a peer was not only frozen of funds but also listed as a key target of foreign exchange supervision due to non-compliant re-export foreign exchange collection operations. Now the next re-export order of millions of US dollars is about to reach the foreign exchange collection node. I am afraid that the funds will be blocked again, but I don't know what compliance requirements to meet, how to connect the whole process nodes, and how to avoid risks in advance. Please help me answer these questions clearly!

### Answer 1 — Best Answer

First，we need to focus on **details of pre-document review**: be sure to ensure the consistency of "goods flow，capital flow and document flow". Focus on reviewing the continuity of endorsement of re-export bills of lading (it is required to show that the ownership of goods is transferred from the upstream supplier to our company，and then to the downstream purchaser)，the complete matching of the name，quantity and unit price of goods on the upstream and downstream invoices，and the re-export trade contract clearly marks the "re-export" attribute and the transfer node of goods ownership. At the same time，prepare the transshipment confirmation letter issued by the freight forwarder and the GPS certificate of logistics track in advance to avoid triggering bank risk control due to inconsistent document logic.

The connection of core nodes needs to be accurately synchronized: 3 working days before foreign exchange collection，report the background of re-export transactions to the bank and submit pre-review materials，complete the international balance of payments declaration within 1 working day after the funds arrive，and mark the transaction code of "re-export trade"，synchronously require the freight forwarder to upload the re-export manifest information to the customs system to ensure that the time difference between the goods flow and the capital flow does not exceed 45 days (the latest supervision requirement of the State Administration of Foreign Exchange in 2026).

We need to formulate an abnormal response plan in advance: if the bank suspends the payment，supplement and submit the freight forwarder's transshipment confirmation letter and goods ownership transfer certificate as soon as possible，if foreign exchange supervision verification is triggered，provide complete transaction chain materials within 3 working days，at the same time，reserve a 10% emergency fund pool to avoid breach of contract for upstream payment due to fund delay.

For the final compliant implementation，we need to **keep the full set of documents for more than 5 years**，and regularly check the document logic to ensure compliance with the traceability supervision requirements of the State Administration of Foreign Exchange for re-export trade foreign exchange collection in 2026，and avoid being listed as a key supervision object due to incomplete document retention.

### Answer 2

In the customs declaration link corresponding to re-export trade foreign exchange collection, we need to focus on the closed loop of "secondary declaration" logic: when declaring imported re-export goods for the first time, select "re-export goods" in the "trade mode" column of the customs declaration form, and mark "temporarily stored in bonded warehouse"; when declaring exported re-export goods for the second time, associate the first import customs declaration number to ensure that the name, quantity and weight of the goods are completely matched. If the customs questions the rationality of re-export profit during price review, provide supporting materials such as upstream and downstream contracts, bank receipts, and freight forwarder transshipment vouchers to prove that the profit interval corresponding to the value-added services in the re-export link (such as warehousing, sorting, and logistics coordination) meets industry standards, and avoid triggering joint verification of foreign exchange supervision due to inconsistent declaration logic, which will affect the progress of foreign exchange collection.

### Answer 3

The core goods right control of re-export trade foreign exchange collection needs to focus on the synchronization of bill of lading endorsement and logistics track: the re-export bill of lading shall adopt "order bill of lading", which is endorsed by the upstream supplier to our company, and then endorsed by our company to the downstream purchaser to ensure the continuity of goods right transfer; at the same time, select a bonded warehouse with re-export qualification as the transit node to avoid goods entering the domestic customs territory and triggering the obligation to pay import duties. If there are logistics abnormalities such as container rollover and port change, ask the freight forwarder to issue a port change confirmation letter and new manifest information as soon as possible, and synchronize them to the bank and the State Administration of Foreign Exchange to ensure that the time logic of the logistics track and capital flow is consistent, and avoid foreign exchange collection being blocked due to delayed logistics information.

### Answer 4

The tax treatment of re-export trade foreign exchange collection needs to focus on VAT deferral and related transaction pricing: if the transit node is an EU bonded warehouse, you can apply for VAT deferral, no need to pay import VAT in the transit country, and declare directly in the final consumer country to reduce capital occupation cost; at the same time, ensure that the profit pricing of re-export trade conforms to the arm's length principle, and avoid being identified as base erosion by the tax authority due to low or high related transaction pricing, which will trigger tax verification and then affect the identification of the transaction background of foreign exchange collection by the State Administration of Foreign Exchange. In addition, keep the tax vouchers of the re-export link (such as VAT deferral application approval, tax declaration form) as supporting materials for foreign exchange collection compliance.

### Answer 5

The compliance of payment and collection of re-export trade foreign exchange collection needs to focus on SWIFT message filling and account management: SWIFT messages need to clearly mark the transaction type of "REEXPORT TRADE", and fill in the complete information of upstream suppliers and downstream purchasers, details of re-export goods, and logistics track nodes; if RMB is used for foreign exchange collection, the payment shall be completed through the CIPS system to ensure that the transaction background can be traced. In addition, it is recommended to use a domestic foreign exchange account with re-export trade foreign exchange collection qualification, and avoid using offshore accounts to trigger foreign exchange supervision attention; after foreign exchange collection, complete foreign exchange settlement and account reconciliation in time to ensure the logical closed loop of capital flow and document flow, and avoid the risk of account freezing due to fund retention.

### Answer 6

The legal risk prevention and control of re-export trade foreign exchange collection needs to focus on contract terms and letter of credit review: the re-export trade contract needs to clearly mark the "re-export" attribute, agree on the transfer node of goods right (subject to the endorsement of the upstream bill of lading to our company), and the time of foreign exchange collection (subject to the arrival of funds within 15 days after the transshipment of goods).

At the same time, add the "supplementary submission clause in case of document discrepancy" to avoid downstream payment refusal due to minor document defects. If a letter of credit is used for foreign exchange collection, strictly review the soft clauses, prohibit clauses that do not conform to the logic of re-export trade such as "import declaration form is required for payment", and require the letter of credit to be marked with "REEXPORT TRADE" to ensure that the bank recognizes the transaction background during review, and avoid foreign exchange collection being blocked due to inconsistent letter of credit terms.

### Answer 7

For port inspection of re-export trade goods, we need to focus on the consistency of the name and quantity of goods with the documents: if the customs of the transit port requires unpacking inspection, prepare documents such as re-export trade contracts, upstream and downstream invoices, and bills of lading in advance, and cooperate with the customs to check the name, quantity and weight of the goods to ensure that they are completely matched with the documents; if the customs questions the re-export attribute of the goods, provide the freight forwarder's transshipment confirmation letter and the order voucher of the downstream purchaser to prove that the goods do not enter the domestic customs territory, but are directly re-exported to the final destination country. In addition, ensure that there are no domestic marks on the goods packaging to avoid being identified as imported goods by the customs, triggering the obligation to pay import duties, and then affecting the compliance identification of foreign exchange collection.

### Answer 8

Re-export trade foreign exchange collection shall be strictly distinguished from general trade export tax refund: re-export trade is not within the scope of export tax refund, and shall be accounted separately after foreign exchange collection, and shall not be mixed with general trade foreign exchange collection, so as to avoid tax inquiry due to inconsistency of four flows (goods flow, capital flow, document flow and invoice flow).

If the re-export trade foreign exchange collection is mistakenly declared as general trade foreign exchange collection, submit a correction application to the tax authority as soon as possible, and provide supporting materials such as re-export trade contracts, bills of lading, and freight forwarder transshipment vouchers to prove the re-export attribute of the transaction, so as to avoid being listed as a key tax supervision object due to illegal tax refund declaration, and then affect the compliance identification of foreign exchange collection transactions by the State Administration of Foreign Exchange. In addition, keep the bank receipts and documents of re-export trade foreign exchange collection for at least 5 years to cooperate with the joint verification of the tax authority and the State Administration of Foreign Exchange.

### Answer 9

The optimization of supply chain structure for re-export trade foreign exchange collection needs to focus on cost actuarial and inventory linkage: when selecting transit nodes, give priority to bonded warehouses with low logistics costs and loose supervision (such as bonded warehouses in Singapore and Hong Kong) to reduce the logistics and warehousing costs in the re-export link; at the same time, establish an inventory linkage mechanism, arrange the arrival and transshipment time of re-export goods according to the order cycle of downstream purchasers, ensure that the interval between foreign exchange collection time and upstream payment time does not exceed 30 days, and reduce capital occupation costs. In addition, establish a foreign exchange collection cost actuarial model, compare the exchange rate difference costs of different foreign exchange collection currencies (US dollar, RMB), select the optimal foreign exchange collection currency, realize the benefit hedging of cost and exchange rate difference, and improve the efficiency of capital use.
