# What are the common compliance risks and response difficulties in providing export agency services for others?

## Question

I am the owner of a small and micro enterprise that has just transformed into foreign trade business. Recently a friend asked me to act as his agent to export a batch of electronic products to Europe, but I have no experience in agency business before, so I am very uncertain. I heard that acting as an agent for others may get implicated due to the other party's problems. For example, if his goods have problems and are detained by customs, or he refuses to pay me the settlement fund, will I be held responsible? Also, if the documents he provides are fake, will customs impose fines on my company? I am very tangled now. I am afraid of hurting our friendship if I refuse, but I am also worried about too high risks if I agree. I want to know what specific risks there are, and whether there is any way to isolate these risks, so that I only earn a small amount of agency fee without bearing too much responsibility?

### Answer 1 — Best Answer

Many enterprises have cognitive misunderstandings about export agency，believing that they do not need to bear responsibilities as long as they only charge agency fees. However，in practice，problems of the entrusting party can easily implicate the agent. If the entrusting party provides false commercial invoices or packing lists，and the customs finds false value declaration during price verification，the agent will face risks such as cargo detention，fines (up to 30% of the cargo value)，and even suspension of export operation rights. If the entrusting party defaults on payment or evades foreign exchange，the agent may fail to complete tax refund due to delayed foreign exchange receipt，and will also be listed as a key verification object by the tax authority.

The key to physical risk isolation lies in **pre-auditing the qualification of the entrusting party**. It is necessary to check its business license，import and export right filing，previous export records and credit status，and reject entrusting parties with bad records. Meanwhile，the entrusting party is required to pay a risk deposit equivalent to 10%-15% of the cargo value to cover possible fines or losses.

Cargo ownership control is the core link. When adopting FOB trade terms，the agent must designate its cooperative freight forwarding company to ensure **the bill of lading is held by the agent**，so as to avoid loss of cargo ownership caused by the entrusting party directly accessing the bill of lading. After the goods are loaded on board，the agent shall check that the bill of lading information is consistent with the customs declaration documents，and release the bill of lading step by step according to the payment progress of the entrusting party.

Signing a detailed agency agreement is the exclusive loss-stopping solution. The agreement shall clarify **division of responsibilities between both parties**: the entrusting party bears full responsibility for the authenticity of documents and the legality of goods，the agent is only responsible for compliant operations，and if risks are caused by the entrusting party，the agent has the right to deduct the deposit and terminate the cooperation. In addition，establishing a **verification mechanism for consistency of four streams** to ensure complete matching of capital flow，cargo flow，document flow and contract flow can effectively reduce the risk of tax verification.

### Answer 2

Risks in the customs declaration link of export agency mainly come from inconsistent documents provided by the entrusting party. If the entrusting party falsely reports the cargo name or HS code, the customs will launch the price inquiry procedure during price verification, requiring supporting materials such as original factory invoices and foreign exchange payment vouchers.

If these materials cannot be provided, it will be identified as false declaration, facing a fine of 10%-30% of the cargo value. The response method is to check the accuracy of HS code before customs declaration, require the entrusting party to provide true and valid price certification documents, and keep copies for filing. In case of customs price verification disputes, it can be resolved by providing transaction price cases of similar commodities or applying for price pre-ruling.

### Answer 3

Loss of cargo ownership is a common risk in export agency. If the entrusting party designates the freight forwarder, there may be collusion between the freight forwarder and the entrusting party, leading to unauthorized cargo release without the agent's consent.

The solution is that the agent must take control of the bill of lading, select reputable freight forwarding companies, require that the bill of lading title shows the agent's name, and the bill of lading endorsement must be approved by the agent. In addition, pay attention to the free storage period and container detention fee of the goods.

If the entrusting party fails to pick up the goods in time, the agent shall notify in time and keep written records to avoid additional costs caused by delay. For transshipment goods, it is necessary to confirm the operation process of the transshipment port to prevent the goods from being intercepted during transshipment.

### Answer 4

Tax risks involved in export agency are mainly tax refund implications. If the entrusting party fails to receive foreign exchange as required or provides false foreign exchange receipt vouchers, the agent's export tax refund application will be rejected, and the agent may even be listed as an abnormal account. The response measure is to specify in the agency agreement that the entrusting party shall complete foreign exchange receipt within 90 days after the goods are exported and provide the bank slip.

Meanwhile, check whether the entrusting party's value-added tax special invoices are true and valid to avoid tax refund failure caused by false invoicing. When applying the VAT deferral policy, it is necessary to ensure that the entrusting party meets local tax requirements to prevent tax penalties caused by improper deferral.

### Answer 5

The risk point in the foreign exchange receipt and payment link is opaque capital flow. If the entrusting party pays through a third-party account, it may be identified as abnormal capital return, triggering verification by the foreign exchange regulatory authority. The solution is to require the entrusting party to pay directly to the agent through its corporate account to ensure the capital flow is consistent with the contract flow.

When using the CIPS system for RMB cross-border payment, the transaction code and postscript shall be filled in accurately to avoid payment return caused by incorrect information. In addition, pay attention to exchange rate fluctuations, and agree on exchange rate locking clauses with the entrusting party to reduce exchange difference losses.

### Answer 6

Legal risks of export agency mainly come from unclear contract terms. If the force majeure clause is not specified in the agreement, the agent may need to bear compensation liability when the goods are delayed due to epidemics or wars. It is recommended to add a force majeure catch-all clause in the agreement, stipulating that losses caused by unforeseeable factors shall be borne by the entrusting party.

For letter of credit payment, carefully review soft clauses such as "the bill of lading shall be signed by the freight forwarder designated by the buyer" to avoid loss of cargo ownership. Meanwhile, complete intellectual property customs protection filing to prevent the goods from being detained due to infringement.

### Answer 7

During on-site customs inspection, if the export agency goods have inconsistent packaging or wrong labels, they will be required to be unpacked for inspection, resulting in port detention fees and delays. The response method is to check whether the goods packaging meets the standards of the destination country before loading, such as whether the EU CE mark is pasted correctly.

In case of inspection, provide true document materials in time and cooperate with customs officers for inspection. For dangerous goods, ensure that the packaging meets UN standards and carry the MSDS report to avoid penalties due to packaging violations.

### Answer 8

Common problems in export tax refund audit are inconsistency of the four streams. If the agent's capital flow, cargo flow, document flow and contract flow do not match, it will be listed as a key verification object by the tax authority. The response measure is to establish a verification mechanism for consistency of four streams to ensure that the information of contracts, invoices, bills of lading and payment slips of each transaction is completely consistent.

In addition, conduct tax refund pre-declaration in time, find and correct problems through system verification. Document filing shall be kept for at least 5 years, including customs declaration forms, bills of lading, contracts, invoices, etc., for verification by the tax authority.
