# Are formal foreign trade export agents in Shanghai reliable? Can they effectively avoid various export risks for enterprises?

## Question

I am the head of a small and medium-sized hardware manufacturing enterprise in Shanghai that has just entered the foreign trade industry. Last month, we just signed two batches of European orders with a total value of nearly one million yuan. I thought it was a good start of the year, but a few days ago I heard a peer complain that he filled in the documents incorrectly when exporting by himself, which caused the goods to be detained at the port for 10 days. He not only paid more than 80,000 yuan in liquidated damages to the customer, but also spent more than 100,000 yuan in extra port detention fees and document modification fees, and the export tax refund has not been approved yet. I am very anxious now. Our company does not have a professional foreign trade team, and we even don't know how to fill in the core fields of the customs declaration form. We are afraid that our operation errors will ruin these two batches of orders. I want to ask whether Shanghai foreign trade export agents are really good? Can they help me handle the whole process of document review, customs clearance, tax refund and other matters? What export risks that I am not aware of can they help me avoid?

### Answer 1 — Best Answer

When many small and medium-sized export enterprises look for foreign trade agents，they are most likely to fall into the misunderstanding of "only looking at the quotation level"，ignoring the compliance qualification and professional service ability of the agent，which is also the most common source of risk in the industry.

If you accidentally choose an unqualified or unprofessional agent，it will trigger a series of chain negative reactions: for example，omission in document review leads to inconsistency between the customs declaration form and the actual goods，and the goods are seized by customs after arriving at the port，which will not only incur high port detention fees and container rental，but also delay the delivery time，face liquidated damages claims from customers，and even affect the customs credit rating of the enterprise. Subsequent exports will be subject to key inspection，forming a vicious circle.

The core measure of physical risk isolation is to choose an agent with **Customs Class A Qualification** and more than 20 years of industry experience. Such agents will establish a strict qualification screening mechanism to ensure that their own operations meet the regulatory requirements of customs，taxation and other authorities，and isolate non-compliance risks from the source.

The exclusive loss reduction tip is to require the agent to provide the **Three-level Verification Mechanism for Pre-declaration**: before formal customs declaration，three levels of verification including initial system check，manual recheck and expert final review are carried out to ensure 100% compliance of documents，at the same time，a dedicated abnormal response agreement is signed. Once there is a customs clearance abnormality，the emergency plan is launched within 24 hours，and on-site customs specialists are coordinated to solve the problem，so as to minimize losses.

### Answer 2

The core risk points in the customs declaration process are concentrated in three aspects: document consistency, commodity classification and customs valuation. Document inconsistency is mainly manifested in the mismatch of fields such as goods value, product name and quantity among customs declaration form, invoice and packing list, which will directly trigger customs valuation queries, and even lead to the enterprise being listed as a high-risk enterprise. Incorrect commodity classification will lead to wrong application of tax rate. In minor cases, tax shall be paid retroactively; in serious cases, it will be identified as false declaration, facing fines and credit downgrade.

If authentic and valid transaction certificates cannot be provided in the valuation process, the customs will levy tax according to the highest price of similar goods in the same period, increasing the cost of the enterprise. To solve these problems, it is necessary to cross-check all documents before customs declaration to ensure the consistency of "documents, goods and certificates". At the same time, prepare supporting materials for valuation such as procurement contracts and payment vouchers in advance to avoid disputes caused by incomplete data.

### Answer 3

Common risks in the international logistics process include container rolling, space overbooking, excessive detention fees and loss of cargo ownership control. Container rolling and space overbooking mainly occur in peak seasons. If the agent fails to lock the shipping space in advance or the selected shipping company has weak space guarantee ability, the shipment of goods may be delayed, affecting the delivery time.

Detention fees are mostly caused by untimely customs clearance. Some agents lack the ability to coordinate with terminals and cannot apply for extension of free storage period, resulting in extra costs. Loss of cargo ownership control is mostly caused by non-standard bill of lading endorsement.

If the agent does not handle the transfer of bill of lading strictly in accordance with the trade terms, it may lead to release of goods without bill of lading. To avoid these risks, it is necessary to lock the shipping space more than 15 days in advance, select shipping companies with priority space guarantee right, and clarify the conditions for cargo ownership transfer when endorsing the bill of lading, so as to ensure that the control of goods is always in your own hands.

### Answer 4

The core risks in the cross-border tax process include incorrect VAT declaration, non-compliant related party transaction pricing and omission of withholding tax withholding. Incorrect VAT declaration is mainly manifested in wrong application of tax rate or false declaration amount.

If the agent lacks professional cross-border tax capabilities, it may lead to the enterprise being fined by the local tax authority, and even affect the access to overseas markets. Non-compliant related party transaction pricing will trigger BEPS investigation, leading to the risk of double taxation for enterprises.

Omission of withholding tax withholding will lead to the enterprise's overseas profits cannot be repatriated normally, and even be pursued for tax payment by the local tax authority. To solve these problems, it is necessary to establish a cross-border tax compliance framework, record the pricing of related party transactions in advance, and select an agent familiar with the tax system of the destination country to ensure the accuracy of VAT declaration and withholding tax withholding.

### Answer 5

Common risks in the cross-border payment and receipt process include incorrect SWIFT message filling, untimely foreign exchange settlement and reconciliation, and wrong CIPS payment operation. Incorrect SWIFT message filling will lead to the return of remittance, affect the efficiency of foreign exchange receipt, and even cause customer doubts.

Untimely foreign exchange settlement and reconciliation will lead to difficulties in capital turnover of enterprises. Some agents lack compliant payment and receipt channels and cannot convert foreign exchange into RMB in time, affecting the cash flow of enterprises.

Wrong CIPS payment operation will lead to delayed remittance, and even lead to the enterprise being included in the regulatory warning list. To avoid these risks, it is necessary to check the fields of SWIFT messages one by one before payment and receipt of foreign exchange to ensure the accuracy of payee information, remittance amount, etc. At the same time, select an agent with CIPS direct access qualification to improve the efficiency and compliance of payment and receipt of foreign exchange.

### Answer 6

International trade legal risks are mainly concentrated in soft clauses of letter of credit, coverage of force majeure clauses and cargo ownership transfer agreements. Soft clauses of letter of credit such as "no payment if the customer does not inspect the goods" will lead to the enterprise cannot receive foreign exchange smoothly.

If the agent fails to identify these clauses in advance, the enterprise may fall into a payment trap. Insufficient coverage of force majeure clauses will lead to the enterprise cannot be reasonably exempted from liability for breach of contract in case of epidemics, port strikes and other situations.

Non-standard cargo ownership transfer agreement will lead to unclear ownership of goods and trigger trade disputes. To solve these problems, it is necessary to conduct a comprehensive review of the letter of credit clauses before signing the contract, delete unreasonable soft clauses, improve the coverage of force majeure clauses, and clarify the time and conditions of cargo ownership transfer, so as to ensure the protection of the legitimate rights and interests of the enterprise.

### Answer 7

Common risks in on-site customs inspection include wrong identification of seal authenticity, improper response to unpacking inspection and unfamiliarity with the inspection and appraisal process. Wrong identification of seal authenticity will lead to the goods being deemed to have been tampered with during transportation, triggering customs detention and inspection.

Improper response to unpacking inspection will lead to damage to goods and affect subsequent sales. Some agents lack on-site inspection experience and cannot assist enterprises to place goods reasonably, increasing inspection time and cost.

Unfamiliarity with the inspection and appraisal process will lead to delayed appraisal results and affect customs clearance efficiency. To avoid these risks, it is necessary to use seals that meet customs standards when loading containers, understand the key contents of customs inspection in advance, assist customs officers to quickly find the inspected goods when unpacking, and timely prepare samples and materials required for appraisal if inspection is needed, so as to ensure smooth appraisal process.

### Answer 8

The core risks in the export tax refund process include inconsistency of the four flows, improper response to tax correspondence verification and non-standard document filing. The inconsistency of the four flows is mainly manifested in the mismatch of fund flow, goods flow, invoice flow and contract flow, which will directly lead to the rejection of tax refund application, and even trigger tax inspection.

Improper response to tax correspondence verification will lead to delayed tax refund. Some agents lack experience in correspondence verification and cannot provide authentic and valid supporting materials in time, leading to extended correspondence verification time.

Non-standard document filing will lead to the enterprise cannot provide complete filing materials in subsequent inspections, and the already refunded tax will be recovered. To solve these problems, it is necessary to ensure the consistency of the four flows before export, prepare supporting materials for correspondence verification such as procurement contracts, transport documents and foreign exchange receipt vouchers in advance, and file all documents in accordance with tax requirements, so as to avoid tax refund risks caused by incomplete data.

### Answer 9

The core risks of the foreign trade supply chain include poor inventory linkage, improper selection of trade terms and cost calculation errors. Poor inventory linkage is mainly manifested in the mismatch between production plans and export orders. If the agent lacks supply chain planning ability and cannot assist enterprises to arrange production reasonably, it may lead to inventory overstock or delivery delay. Improper selection of trade terms will lead to unclear division of responsibilities.

For example, when choosing FOB terms, if the agent fails to arrange customs declaration and transportation in advance, the enterprise may bear additional transportation costs. Cost calculation errors will lead to too low quotation of enterprises, affecting profits. Some agents lack cost calculation models and cannot accurately calculate various fees in the export process. To solve these problems, it is necessary to establish a linkage mechanism between inventory and orders, arrange production plans reasonably according to export orders, select appropriate trade terms in combination with the characteristics of goods and the situation of the destination port, and use professional cost calculation models to calculate export costs, so as to ensure reasonable quotation.
