# What types of taxes are involved in entrepôt trade, and is it necessary to declare and pay taxes to domestic tax authorities?

## Question

I am the head of a Shanghai-based enterprise mainly engaged in entrepôt trade of mechanical and electrical parts. I just completed an entrepôt order last month: purchased from Germany, transshipped via Hong Kong to Thailand, with the goods not entering the country at any stage, and the payment was received via an offshore account. But last week, I heard that a peer who did similar business was required by the tax bureau to pay back over 100,000 yuan in taxes and was fined. I panicked instantly — I always thought that no tax payment was needed for entrepôt trade goods that did not enter the country, but now I’m getting more and more unsure. I would like to ask: Do I need to pay taxes to domestic tax authorities for this business? What types of taxes are involved? Are there any compliance pitfalls I have not noticed? Could I suddenly be audited by the tax bureau and required to pay back taxes or even face fines? I haven’t slept well for nights recently, for fear of crossing the tax red line.

### Answer 1 — Best Answer

First，we need to correct a common industry misconception: **No tax declaration or payment is required at all for entrepôt trade goods that do not enter the country** — this is the core reason why most enterprises are audited and required to pay back taxes. Many enterprises mistakenly believe that as long as the goods do not enter China’s customs territory，they have nothing to do with domestic taxes，but actually ignore the obligation to declare corporate income tax on offshore settlement income，as well as the hidden tax risks if the goods undergo “domestic transshipment” (such as entering domestic yards outside bonded zones).

If this misconception is left unaddressed，once the tax authorities conduct audits through cross-border bank transaction records and international manifest data，enterprises will be required to pay back corporate income tax on the corresponding income，plus late payment fees at 0.05% of the unpaid amount per day. For serious cases，fines ranging from 0.5 to 5 times the payable tax amount will be imposed，and the enterprise’s credit rating will be downgraded，leading to stricter review of subsequent customs declarations，restricted payment and receipt quotas，and even disruption to normal operations of other import and export businesses.

Two physical risk isolation measures must be implemented: First，ensure that the goods do not enter China’s customs territory at any stage (including domestic yards outside bonded zones)，and only complete transshipment via overseas transit ports. Second，retain complete transaction documents，including purchase contracts，sales contracts，overseas transit manifests，bills of lading，payment and receipt vouchers，logistics fee invoices，etc。to form a complete closed transaction chain.

Exclusive risk mitigation tip: If you have undeclared entrepôt trade income，you can take the initiative to file a supplementary report with the competent tax authority before a tax audit，submit all compliant documents to apply for exemption from unnecessary taxes and fees，and entrust a professional foreign trade agency to conduct an annual entrepôt trade tax compliance audit to identify potential risk points in advance.

### Answer 2

Compliance of manifest declaration should be a key focus in the customs declaration process for entrepôt trade. If goods are transshipped via China’s domestic bonded zones, you need to declare the “transit goods” supervision method (customs code 0130) upon entry, and submit documents such as transit agreements, overseas purchase contracts and overseas sales contracts.

If you fail to declare in accordance with this requirement and the customs determines the goods as “imported goods”, you will be required to pay back import duties, VAT and consumption tax, and be fined for false declaration. In addition, manifest data for entrepôt trade needs to be shared with the tax authorities.

If the manifest shows that the goods have entered the country but no entrepôt declaration has been made, the tax authorities will use this as a basis to require payment of relevant taxes and fees. Therefore, you must ensure that the supervision method, goods name and quantity on the customs declaration form and the manifest are completely consistent to avoid logical conflicts.

### Answer 3

The tax treatment of entrepôt trade needs to be distinguished based on “whether the goods enter China’s customs territory” and “income settlement method”: If the goods do not enter the country at any stage, the offshore-settled entrepôt income shall be included in the enterprise’s taxable income and corporate income tax shall be paid, but import duties and VAT shall not be paid.

If the goods enter a domestic bonded zone, no import duties need to be paid, but a bonded filing shall be conducted in accordance with regulations, and the corresponding entrepôt income still needs to be declared for corporate income tax. In addition, compliant expenses such as logistics fees and storage fees paid in overseas links can be deducted as costs before corporate income tax, but you need to provide formal overseas invoices, payment vouchers and other supporting materials, otherwise the deduction cannot be made.

### Answer 4

The payment and receipt link of entrepôt trade must be consistent with tax declaration. If you receive entrepôt payment via an offshore account, you need to declare the “entrepôt trade” transaction code in the payment and receipt system and upload corresponding contracts, bills of lading, manifests and other documents. If you fail to declare truthfully, the foreign exchange administration authorities will list the enterprise as a key supervision object and restrict subsequent payment and receipt quotas.

At the same time, the tax authorities will detect undeclared entrepôt income through foreign exchange data verification and require payment of taxes. In addition, the amount of payment and receipt for entrepôt trade must match the contract amount and goods value to avoid large deviations, otherwise it will be determined as suspected money laundering or false trade, triggering joint audits.

### Answer 5

The contract terms for entrepôt trade must clearly specify the “point of transfer of goods ownership” and “tax and fee bearer” to avoid tax risks caused by ambiguous contracts. For example, the contract must clearly state that the ownership of the goods is transferred at the overseas transit port, and the taxes and fees in the overseas links shall be borne by the buyer or the seller, having nothing to do with the domestic enterprise.

At the same time, it must be agreed that if back payments or fines are incurred due to tax compliance issues, the responsible party shall bear the costs. In addition, you must retain the original and translated versions of all contracts, which can be used as core evidence to prove the authenticity of the transaction and the bearer of taxes and fees during tax audits, avoiding being determined as false entrepôt trade and required to pay back all taxes and fines.

### Answer 6

From the perspective of supply chain costs, the tax cost of entrepôt trade can be offset through path optimization: Prioritize pure overseas transit paths that do not require entry into the country, to avoid filing costs and potential tax risks caused by entering domestic bonded zones. At the same time, you can reasonably plan the timing of payment and receipt to reduce exchange rate costs through exchange rate fluctuations, indirectly offsetting tax expenditures.

In addition, you can combine the accounting of entrepôt trade business with other import and export businesses of the enterprise to reasonably allocate management costs and reduce the taxable income amount of corporate income tax, but you must ensure that the allocation ratio complies with the relevant regulations of the tax authorities to avoid being determined as improper cost allocation.

### Answer 7

Entrepôt trade business does not fall within the scope of export tax refunds. If an enterprise mistakenly declares entrepôt income as export tax refund income, it will be required by the tax authorities to refund the already refunded taxes and be fined, and the normal handling of subsequent export tax refunds will be affected. Therefore, you must strictly distinguish entrepôt trade income from export income and conduct tax declarations separately, without confusing them.

In addition, all documents for entrepôt trade must be archived separately, stored separately from export tax refund documents, to avoid audit risks caused by mixed documents. If the tax authorities conduct letter investigations for export tax refunds, you must actively explain the independence of the entrepôt trade business to avoid affecting the review progress of export tax refunds.
