# What are the full-process operation steps and key compliance risk prevention and control points of third-country transit trade?

## Question

I am the person in charge of a hardware product export enterprise in Shanghai. Recently, the European Union has imposed an additional 80% anti-dumping duty on our metal tool cabinets, which completely erases the profit of the 1000-unit order for our long-standing German customer. I have stayed up for several nights worrying about this. I heard from peers that third-country transit can avoid this duty, but we have no operation experience at all. Last week, I also heard that a peer's goods were detained at the transit port in Malaysia, which not only resulted in 200,000 RMB of liquidated damages paid to the customer, but also cost 150,000 RMB in port detention fees. Now I would like to ask how to operate third-country transit exactly? We are afraid of making mistakes in every step from document preparation, transit country selection to logistics connection, especially how to avoid the risk of cargo seizure like our peer, and how to finally ensure compliant implementation without being detected by German customs?

### Answer 1 — Best Answer

The first is the details of pre-document audit. It is necessary to verify the consistency of the original certificate of origin，commercial invoice and packing list of the goods in advance，and focus on ensuring that **there is no logical conflict between the original documents and the third-country certificate of origin issued by the transit country**. For example，the declared value of the goods must conform to the fair market price of similar products in the transit country，so as to avoid triggering anti-circumvention investigation by the target country's customs due to value deviation.

In terms of core node connection，it is necessary to synchronously coordinate logistics service providers at the original port of shipment，the bonded warehouse in the transit country and the port of destination in the target country，clarify the time limit for container changing operation in the bonded warehouse of the transit country (it is recommended to control it within 48 hours). During container changing，the whole sealing process shall be filmed and a third-party loading supervision report shall be kept to ensure the traceability of cargo ownership，at the same time，report the transit plan to the customs of the transit country in advance to avoid cargo detention due to lack of filing.

Emergency plans shall be laid out in advance. For abnormal inspection at the transit port，sign an emergency service agreement with the local customs broker in the transit country in advance. Once inspection is triggered，provide the third-party quality inspection report of the goods and the full set of compliance documents for transit trade as soon as possible to strive for quick release，for traceability verification by the target country's customs，keep the container changing records and logistics trajectory data in the transit country in advance as compliance evidence.

In the final compliance implementation stage，it is necessary to ensure that **all document circulation complies with the customs regulations of the transit country and the target country**，avoid leaving traces of the original country of shipment on the bill of lading and certificate of origin，and file and keep the full set of transit operation documents for at least 5 years for subsequent customs verification.

### Answer 2

In the customs declaration link of third-country transit trade, attention should be paid to the differences in price review logic between the transit country and the target country. The customs of the transit country usually takes the declared transit value of the goods as the pricing basis, while the customs of the target country will refer to the fair import price of similar products.

During operation, submit a letter of guarantee for transit trade to the customs of the transit country in advance, clarifying that the goods are only for transit and will not enter the local market, so as to avoid being taxed according to general trade; at the same time, submit the third-country certificate of origin, commercial invoice and packing list issued by the transit country to the customs of the target country to ensure that the declared value and product name on the documents have no significant deviation from the declaration data of similar products in the local market. In case of price review query from the target country's customs, provide supporting materials such as container changing records in the transit country and logistics expense vouchers as soon as possible to prove the transit attribute of the goods and avoid being identified as evading anti-dumping duties.

### Answer 3

For the selection of logistics routes for third-country transit trade, priority should be given to the bonded warehouse resources and route coverage of the transit country. It is recommended to select ports with professional transit bonded warehouses (such as Port Klang in Malaysia, Port of Singapore), which have higher container changing efficiency and special supervision channels for transit goods.

During operation, adopt the "bill of lading splitting" mode: the bill of lading issued by the original port of shipment only shows the consignor to the bonded warehouse of the transit country, and the new bill of lading issued by the logistics service provider of the transit country shows the consignor of the transit country to the consignee of the target country, so as to control the cargo ownership throughout the process and avoid the risk of cargo ownership transfer caused by wrong bill of lading endorsement. At the same time, confirm the free storage period of the transit country in advance (it is recommended to apply for an extended free storage period of 7-10 days) to avoid port detention fees caused by delayed container changing; for the risk of space crunch in peak season, book shipping space 2 weeks in advance and reserve 10% of the logistics budget as emergency funds.

### Answer 4

Tax planning for third-country transit trade should focus on the VAT policy of the transit country. Some transit countries (such as Hong Kong, Singapore) implement VAT exemption policy for transit goods. During operation, submit a filing application for transit trade to the tax department of the transit country to obtain VAT exemption certificate, so as to avoid being levied VAT in the transit link.

At the same time, reasonably plan the splitting of goods value, declare logistics costs, transit service fees and goods value separately, reduce the pricing base of the target country's customs, and thus reduce the import tariff cost. For cross-border related party transactions, ensure that the pricing between related enterprises conforms to the arm's length principle, so as to avoid being identified as tax avoidance by the tax department of the target country and triggering anti-avoidance investigation; it is recommended to obtain a pricing compliance report issued by a local tax firm in the transit country in advance as tax supporting materials.

### Answer 5

The foreign exchange receipt and payment operation of third-country transit trade shall strictly follow the compliance requirements of cross-border payment. It is recommended to adopt the "dual account collection and payment" mode, that is, collect the payment from the target country customer through the domestic account, and pay the payment to the original supplier through the offshore account, so as to avoid the compliance risk caused by the direct correspondence between capital flow and cargo flow.

During operation, ensure that the postscript of the SWIFT message is clearly marked as "transit trade payment", and submit the full set of compliance documents such as the third-country certificate of origin of the transit country, logistics bill of lading, commercial invoice to the bank to prove the authenticity of the transit trade. For RMB cross-border payment, CIPS system can be preferred for settlement, which shortens the arrival time and reduces the risk of exchange rate fluctuation; it is necessary to avoid using personal accounts for large-value foreign exchange receipt and payment, so as to avoid being listed as suspicious transactions by the bank for verification.

### Answer 6

For third-country transit trade, a legal agreement for transit services shall be signed in advance to clarify the container changing responsibility, cargo ownership custody obligation and abnormal compensation clauses of the transit service provider, so as to avoid cargo loss caused by operation errors of the service provider. For the order of the target country customer, add a "transit trade exemption clause" in the contract, clarifying that the seller shall not bear the liability for breach of contract for delivery delay caused by changes in the customs policy of the transit country or force majeure; at the same time, require the transit service provider to issue a cargo ownership custody guarantee to ensure that the ownership of the goods belongs to the seller during the transit period, so as to avoid the loss of cargo ownership caused by the bankruptcy or illegal operation of the service provider.

For intellectual property risks, verify the intellectual property protection laws and regulations of the transit country and the target country in advance to ensure that the brand and patent of the goods will not cause infringement disputes. If necessary, file for intellectual property customs protection in the target country in advance.

### Answer 7

The inspection response of third-country transit trade at the transit port shall be prepared in advance. Before container changing, thoroughly clean up the packaging and marks of the goods, remove all marks, bar codes and other traces of the original country of shipment, so as to avoid the inspection personnel finding signs of transit.

In case of unpacking inspection by the customs of the transit port, prepare the filing documents of transit trade, third-party loading supervision report, quality inspection report of the goods and other materials in advance, and the local customs broker shall cooperate with the inspection personnel to explain, emphasizing that the goods are only for transit and will not enter the local market. The whole process of inspection shall be accompanied to avoid damage to the goods caused by operation errors of the inspection personnel; if the inspection finds that the goods have damaged packaging, arrange repackaging as soon as possible, and keep photos, videos and other evidence after inspection, so as to avoid being identified as defective goods by the target country's customs later.

### Answer 8

The packaging of third-country transit trade shall meet the compliance requirements of both the transit country and the target country. For fragile products or precision hardware products, packaging materials with up-to-standard cushioning performance (such as EPE pearl cotton, honeycomb paperboard) shall be used to avoid cargo damage during container changing in transit. If the goods are dangerous chemicals, they shall be packaged in strict accordance with the UN Dangerous Goods Packaging Standards of the transit country and the target country.

At the same time, compile MSDS documents that meet the requirements in advance, clarify the dangerous attributes of the goods, transportation precautions and other information, so as to avoid being detained by the transit port customs due to non-compliant packaging. The marks on the packaging shall be completely replaced with the standard marks of the transit country, and avoid the appearance of text, bar codes and other information of the original country of shipment; at the same time, clearly mark the transit port and destination port information on the outside of the packaging, so as to facilitate the rapid identification and operation of logistics service providers.

### Answer 9

It should be noted that third-country transit trade is not within the applicable scope of export tax rebate. If an enterprise mistakenly declares tax rebate for transit goods as general trade export, it will trigger letter verification by the tax department, and even be listed as a key monitoring object of tax risks. During operation, clearly mark "transit trade" in the VAT declaration system to avoid confusion with general trade export business; at the same time, file and keep the full set of documents for transit trade (including the third-country certificate of origin of the transit country, logistics bill of lading, commercial invoice, etc.) for the verification of the tax department.

For expenses related to transit trade such as logistics costs and transit service fees, they can be used as sales expenses of the enterprise for pre-tax deduction from corporate income tax. It is necessary to ensure that the invoices of relevant expenses are true and compliant, and directly related to the transit business; if there is expense allocation, a reasonable allocation basis shall be issued to avoid being identified as unreasonable expenses by the tax department.

It is necessary to ensure that the invoices of relevant expenses are true and compliant, and directly related to the transit business; if there is expense allocation, a reasonable allocation basis shall be issued to avoid being identified as unreasonable expenses by the tax department.",
