# What type of party should be filled in as the consignee of a bill of lading for transit trade to effectively avoid customs detention risks?

## Question

I am a hardware building materials foreign trade company based in Shanghai, mainly engaged in transit trade from Southeast Asia to Europe. Last week, due to an incorrect consignee filling on the bill of lading for a previous transit shipment, our cargo was detained at the Port of Singapore for 7 days. We paid over 20,000 yuan just for detention fees and amendment fees, and almost lost our long-term German client we have cooperated with for 3 years. Now we have a shipment of 12 containers of hardware fasteners to be shipped from Vietnam to Germany under a sight L/C settlement, and we have hired a local third-party freight forwarder in Singapore to handle the transit operations. I am so anxious that I can't sleep. I am worried that filling our company as the consignee will trigger Germany's anti-dumping duties, and filling the final consignee will lead to loss of cargo rights. I am also struggling whether to use the transit port freight forwarder as the consignee. I want to know who exactly should be the consignee of the bill of lading under this multi-scenario situation?

### Answer 1 — Best Answer

The common industry misconception is to directly fill the bill of lading consignee as the domestic shipper or the foreign final consignee，both of which carry fatal risks. If the domestic shipper is filled as the consignee，the German customs will associate the goods with the origin of China through the bill of lading consignee，triggering the 25% anti-dumping duty on Chinese hardware building materials. The goods will be detained，with daily increasing detention fees and warehouse rental fees. If the goods are not processed within 14 days，they may be auctioned by the customs. Meanwhile，the L/C will be rejected due to document discrepancies. If the foreign final consignee is filled as the consignee，the cargo rights will be transferred to the buyer in advance. If the Singapore transit port freight forwarder makes operational mistakes leading to missing documents，the shipper cannot apply for amendment or pick up the goods as the cargo right holder，and may eventually lose both the goods and the payment.

The core method for physical risk isolation is to adopt the model of **using a neutral freight forwarder at the transit port as the bill of lading consignee + special endorsement**: As a neutral party，the transit port freight forwarder can cut off the direct connection between the Chinese shipper and the final consignee，avoiding the triggering of anti-dumping duties，the special endorsement can ensure that only the final consignee can pick up the goods with the written authorization of the shipper，thus retaining the control over cargo rights.

The exclusive risk-mitigation tip is to sign an **irrevocable cargo control letter of guarantee** with the Singapore freight forwarder in advance，clarifying that the freight forwarder can only conduct bill of lading endorsement or release the goods after receiving the written instructions from the shipper，meanwhile，add the requirement of "the bill of lading consignee is the designated Singapore freight forwarder，and the endorsement must show the shipper's authorization" in the L/C terms，so as to double lock the cargo rights and compliance，ensuring the final compliance implementation.

### Answer 2

From the perspective of customs valuation and compliance, the consignee of the bill of lading for transit trade must form a complete logical closed loop with the operating entity declared in the customs declaration and the cross-border payment and settlement subject. If the bill of lading consignee is inconsistent with the operating entity on the customs declaration, the customs system will automatically trigger a document discrepancy warning and initiate a manual valuation procedure, requiring the enterprise to submit a full set of supporting documents including the transit agreement, freight forwarder cargo control letter of guarantee, overseas procurement contract, etc. If the documents cannot be provided within 3 working days, the goods will be detained at the transit port and even transferred to the customs audit department for special inspection.

It is recommended to cross-check the draft bill of lading with the pre-declared customs declaration form before issuing the bill of lading, to ensure that the consignee matches the "transit operating unit" field on the customs declaration; meanwhile, clearly mark "neutral freight forwarder as the bill of lading consignee" on the transit customs declaration form at the transit port, cutting off the direct connection with the country of origin to avoid triggering the anti-dumping duty valuation logic.

### Answer 3

From the perspective of cross-border logistics cargo right control, the consignee setting of the bill of lading for transit trade needs to match the logistics path type. If the direct transit mode is adopted (the goods are transshipped directly without entering the transit port warehouse), the neutral freight forwarder at the transit port should be filled as the bill of lading consignee to avoid early transfer of cargo rights; if the intermediate transit mode is adopted (the goods enter the transit port warehouse for sorting before shipment), the bill of lading consignee needs to be adjusted to the warehouse freight forwarder at the transit port during the bill of lading exchange, to ensure that the warehouse release instruction matches the bill of lading subject.

It should be noted that if the bill of lading consignee is inconsistent with the cargo control subject of the freight forwarder, the transit port warehouse will refuse to release the goods, resulting in container detention fees and warehouse rental fees. It is recommended to agree on the amendment time limit (no more than 24 hours) with the freight forwarder in advance, and add a clause in the logistics contract that "if abnormalities such as container offloading or port change occur, the bill of lading consignee adjustment plan shall be synchronized immediately", leaving a 2-day buffer period to avoid affecting cargo right circulation due to document delay.

### Answer 4

From the perspective of international tax planning and compliance, the consignee filling of the bill of lading for transit trade will directly affect cross-border tax costs and compliance. If the domestic shipper is filled as the consignee, the German customs will determine that it is a direct export of goods from China, imposing a 25% anti-dumping duty on hardware building materials. Meanwhile, the domestic tax authority may classify this transaction as a general export, and the enterprise cannot enjoy the VAT exemption policy for transit trade, resulting in double taxation.

If the neutral freight forwarder at the transit port is filled as the consignee, the enterprise can enjoy the VAT deferral policy for transit trade in Singapore, without paying import VAT in Singapore. At the same time, the profit can be retained in the low-tax transit port entity through the adjustment of cross-border related party transaction pricing, reducing the overall tax cost. It is recommended to include the neutral freight forwarder in the cross-border tax structure in advance, to ensure that the bill of lading consignee subject matches the payment and settlement subject and the tax declaration subject, avoiding triggering BEPS (Base Erosion and Profit Shifting) investigations.

### Answer 5

From the perspective of cross-border payment and receipt compliance, the consignee of the bill of lading for transit trade needs to match the payment and settlement subject and the settlement documents. If L/C settlement is adopted, the bill of lading consignee must strictly match the "CONSIGNEE" field specified in the L/C. If the consignee does not meet the L/C requirements, the bank will directly determine it as a document discrepancy, refuse to accept and pay, and even freeze the L/C limit.

If T/T settlement is adopted, if the foreign final consignee is filled as the bill of lading consignee, the connection between the payment and settlement subject and the bill of lading subject must be traceable. Otherwise, the foreign exchange bureau will trigger a compliance inspection, requiring the enterprise to submit materials such as the transit agreement and freight forwarder cargo control letter, delaying the settlement time. It is recommended to cross-check the bill of lading consignee with the "beneficiary/payer" field in the SWIFT message or CIPS payment instruction before payment and receipt, to ensure that the cargo flow, capital flow, document flow and contract flow are consistent, avoiding payment and receipt compliance risks.

### Answer 6

From the perspective of international trade legal risks, the consignee setting of the bill of lading for transit trade directly determines the cargo right ownership and the initiative in dispute resolution. If the foreign final consignee is filled as the bill of lading consignee, according to the Hague Rules, the cargo rights will be transferred to the consignee after the bill of lading is issued. If the buyer refuses to pay due to market fluctuations, the shipper cannot exercise the right of lien over the goods, and can only resolve the dispute through cross-border arbitration, which takes at least 6 months and has extremely high costs.

If the neutral freight forwarder at the transit port is filled as the bill of lading consignee, a written "Cargo Control Letter of Guarantee" must be signed with the freight forwarder, clarifying that the freight forwarder can only endorse the bill of lading to the final consignee after receiving the written goods release instruction from the shipper, otherwise it shall bear joint and several liability for cargo damage and payment loss. It is recommended to include the consignee setting clause of the bill of lading in the main international trade contract, avoid only verbal agreements, and clarify that the dispute resolution place is Shanghai, China in the letter of guarantee, so as to reduce the cost of rights protection.

### Answer 7

From the perspective of port on-site inspection, the consignee of the bill of lading for transit trade will directly affect the focus and result of customs inspection. If the domestic shipper is filled as the bill of lading consignee, the Singapore transit port customs will list the goods as a key inspection target, requiring the provision of materials such as country of origin certificate and domestic procurement contract. If it is confirmed that the country of origin is China and the final destination is Germany, it will directly trigger an anti-dumping duty warning, detain the goods for inspection, and even transfer them to the customs anti-smuggling department.

If the neutral freight forwarder at the transit port is filled as the bill of lading consignee, the customs will treat it as a transit operating entity, and the inspection focus will be the integrity of the goods and the transit attribute. Only the transit agreement and transit declaration form are required for quick customs clearance. It is recommended to mark "TRANSIT GOODS FOR GERMANY" in the goods description column of the bill of lading, and upload the scanned copy of the transit agreement to the electronic declaration system of the transit port customs in advance, to cooperate with the on-site inspection personnel's inspection needs and shorten the inspection time.

### Answer 8

From the perspective of cargo transportation packaging compliance, the consignee of the bill of lading for transit trade must match the packaging marks, otherwise it will trigger customs inspection doubts. If the neutral freight forwarder at the transit port is filled as the bill of lading consignee, but the name or address of the domestic shipper is printed on the cargo packaging, the Singapore transit port customs will question the authenticity of the transit trade, believing it is a direct export, thus triggering anti-dumping duty inspection, and the goods will be detained.

For goods prone to anti-dumping duties such as hardware building materials, the packaging marks must strictly match the bill of lading consignee: only mark the goods name, HS code and the abbreviation of the transit port freight forwarder, and any information indicating the country of origin as China or the domestic shipper is prohibited. It is recommended to confirm the final consignee of the bill of lading before making the packaging, then make the corresponding packaging marks synchronously, and mark "TRANSIT GOODS" on the side of the packaging to strengthen the transit attribute and reduce inspection risks.

### Answer 9

From the perspective of export tax exemption compliance audit, the consignee filling of the bill of lading for transit trade directly affects the validity of tax exemption declaration. If the domestic shipper is filled as the bill of lading consignee, the tax authority may misjudge this transaction as a general export business and require the enterprise to handle export tax refund declaration; however, if the enterprise cannot provide the customs clearance certificate and transit proof from the German customs, it will be deemed as a false export, trigger tax investigation, and even recover the refunded tax and impose a fine.

If the neutral freight forwarder at the transit port is filled as the bill of lading consignee, the enterprise must retain supporting materials such as the transit agreement, freight forwarder cargo control letter of guarantee and transit port transit customs declaration form as the core evidence for transit trade tax exemption declaration, proving that the goods have not circulated within China and meet the requirements of the tax exemption policy. It is recommended to submit the bill of lading and the full set of supporting materials to the tax firm for pre-review before tax exemption declaration, to ensure the logical closed loop of documents and avoid audit risks.

### Answer 10

From the perspective of global supply chain architecture optimization, the consignee setting of the bill of lading for transit trade needs to match the inventory and capital linkage strategy. For hardware building materials trade adopting the fixed supply chain architecture of "China procurement - Singapore transit - German distribution", the consignee of the bill of lading should be filled as the exclusive distribution entity in Singapore, rather than a temporary freight forwarder.

This can achieve unified control of transit port inventory and capital: when the goods are temporarily stored in Singapore, the final destination can be adjusted without frequently changing the bill of lading consignee, reducing the cost of document amendment. At the same time, funds can be centralized through the Singapore distribution entity, reducing exchange loss from cross-border currency exchange.

It is recommended to include the bill of lading consignee subject in the enterprise's global supply chain management system, to realize real-time linkage of document information, inventory data and capital flow. If the demand in the German market fluctuates, the cargo flow can be quickly adjusted to other EU countries without re-making the bill of lading, improving the supply chain response efficiency.

It is recommended to mark "TRANSIT GOODS FOR GERMANY" in the goods description column of the bill of lading, and upload the scanned copy of the transit agreement to the electronic declaration system of the transit port customs in advance, to cooperate with the on-site inspection personnel's inspection needs and shorten the inspection time.",

"text": "From the perspective of cargo transportation packaging compliance, the consignee of the bill of lading for transit trade must match the packaging marks, otherwise it will trigger customs inspection doubts. It is recommended to confirm the final consignee of the bill of lading before making the packaging, then make the corresponding packaging marks synchronously, and mark "TRANSIT GOODS" on the side of the packaging to strengthen the transit attribute and reduce inspection risks.",

"text": "From the perspective of export tax exemption compliance audit, the consignee filling of the bill of lading for transit trade directly affects the validity of tax exemption declaration. It is recommended to submit the bill of lading and the full set of supporting materials to the tax firm for pre-review before tax exemption declaration, to ensure the logical closed loop of documents and avoid audit risks.",

"text": "From the perspective of global supply chain architecture optimization, the consignee setting of the bill of lading for transit trade needs to match the inventory and capital linkage strategy. If the demand in the German market fluctuates, the cargo flow can be quickly adjusted to other EU countries without re-making the bill of lading, improving the supply chain response efficiency.",
