# What are the compliant operation procedures and core risk prevention and control points for cross-border settlement of transit trade?

## Question

I am the person in charge of a foreign trade company mainly engaged in Southeast Asian transit trade. Last month, due to non-standard settlement procedures for a batch of transit palm oil, we triggered a compliance early warning from the foreign exchange administration, and our cross-border settlement account was temporarily frozen for 3 days, which almost delayed the booking payment for the next batch of rubber transit orders. I still have a lingering fear about this. Recently, we have a USD 500,000 natural rubber transit order, with goods shipped from Laem Chabang Port, Thailand to Santos Port, Brazil. The Brazilian customer suddenly requires RMB cross-border settlement. I am worried about triggering foreign exchange inspection and early warning again, also afraid that unclear RMB settlement operation procedures will lead to fund retention, and also want to minimize settlement handling fees and exchange costs as much as possible. I am really confused and would like to ask how to settle transit trade in a compliant, secure and cost-effective way?

### Answer 1 — Best Answer

First，for pre-document review details，you need to check the full set of compliant documents for transit trade in advance，including **authentic and valid upstream and downstream contracts**，bills of lading (which must clearly indicate that the goods do not enter the territory)，transit manifest information and commercial invoices，to ensure that the cargo right flow，capital flow and information flow corresponding to the documents are fully matched，so as to avoid triggering foreign exchange inspection and early warning due to inconsistent documents.

For core node connection，if RMB cross-border settlement is adopted，you need to complete foreign exchange receipt and payment operations through the CIPS system，and submit the transit trade record form to the bank simultaneously，clearly marking the "transit trade" attribute，to ensure that the time difference between capital receipt and payment does not exceed the reasonable cycle of cargo transportation (usually no more than 90 days)，so as to avoid being judged as abnormal capital flow.

Exception response plans should be formulated in advance: If foreign exchange inspection is triggered，you need to submit the full set of documents and cargo flow track certificates (such as the transit manifest issued by the shipping company) within 3 working days，and cooperate with the bank to complete the inspection，If fund retention occurs，you can apply for the bank's special transit trade settlement channel to speed up fund arrival.

For final compliance implementation，you can **select banks with transit trade settlement qualification**，adopt RMB settlement to avoid exchange costs，and retain the full set of documents for no less than 5 years to meet the post-supervision requirements of the foreign exchange administration.

### Answer 2

For the customs declaration link corresponding to transit trade settlement, you must strictly follow the customs supervision requirement of "transit goods not entering the territory". All receipt and payment of settlement funds must fully match the manifest, bill of lading and commercial invoice information of transit goods, and situations such as "mismatch between documents and goods" and "excessive cargo value deviation" are strictly prohibited.

Inconsistency between settlement documents and customs declaration documents will trigger customs price review early warning, leading to cargo detention for inspection at the transit port, even being judged as false transit trade, facing a fine of up to 10% of the cargo value and the risk of cross-border settlement account being frozen for 6 months. In practice, you need to submit the transit trade record application to the transit port customs in advance, obtain the electronic record number of the transit manifest, and provide this number to the bank simultaneously as auxiliary proof material for settlement, to ensure the logical closed loop between customs declaration and settlement, and retain the record receipt of the transit port customs for no less than 5 years for post-inspection by the foreign exchange administration and the customs.

### Answer 3

The core prerequisite for transit trade settlement is effective control of cargo rights. All receipt and payment of settlement funds must fully match the node of cargo right transfer.

In practice, you need to choose "order bill of lading" as the cargo right certificate, and the endorsement of the bill of lading must strictly correspond to the foreign exchange receipt and payment nodes specified in the upstream and downstream contracts: After receiving the bill of lading from the upstream supplier, you need to immediately conduct blank endorsement or designated endorsement to the downstream buyer, and simultaneously require the bank to release the bill of lading only after receiving the advance payment from the downstream buyer. Mismatch between cargo right transfer and settlement nodes will lead to cargo detention at the transit port, resulting in high container detention fees and port detention fees, and even cargo right disputes.

In addition, you need to confirm the free storage period of the transit port in advance. If the free storage period is insufficient, you need to apply for extension of the free storage period in advance to avoid settlement funds being temporarily withheld by the bank due to cargo detention at the port.

### Answer 4

Tax planning for transit trade settlement needs to focus on the compliance of VAT deferral and related party transaction pricing. When adopting RMB cross-border settlement, if both upstream and downstream parties of the transit goods are overseas enterprises, you can apply for VAT deferral, no need to pay import VAT at the transit port, only need to pay VAT at the final destination country of the goods, so as to reduce the occupation cost of settlement funds. In addition, you must strictly follow the relevant requirements of BEPS (Base Erosion and Profit Shifting), and the profit level of transit trade must conform to the reasonable industry range (usually 3%-5% of the cargo value).

Excessively high or low profits are strictly prohibited to avoid being judged by the tax authority as profit shifting through related party transactions, facing the risk of tax repayment and fines. In practice, you need to submit the tax record application for transit trade to the tax authority in advance, and retain upstream and downstream contracts, commercial invoices and capital receipt and payment vouchers for no less than 10 years for post-inspection by the tax authority.

### Answer 5

Foreign exchange compliance of transit trade settlement must strictly follow the "three flows integration" supervision requirement of the foreign exchange administration, that is, full matching of cargo right flow, capital flow and information flow. When adopting RMB cross-border settlement, you need to complete foreign exchange receipt and payment operations through the CIPS system, and submit the full set of transit trade documents to the bank simultaneously, including upstream and downstream contracts, bills of lading, commercial invoices and transit manifest information.

If the time difference between capital receipt and payment exceeds the reasonable cycle of cargo transportation (usually no more than 90 days), it will trigger the abnormal capital early warning of the foreign exchange administration, leading to temporary freeze of the cross-border settlement account. In practice, you need to apply for the special transit trade settlement channel from the bank in advance, which can simplify the document review process, speed up fund arrival, and avoid triggering early warning due to excessive time difference between capital receipt and payment. In addition, you need to submit the foreign exchange receipt and payment details of transit trade to the foreign exchange administration every month to ensure the compliance of foreign exchange receipts and expenditures.

### Answer 6

If letter of credit is adopted for transit trade settlement, you need to strictly review the soft clauses of the letter of credit to avoid delayed arrival of settlement funds caused by soft clauses. Common soft clauses include: requiring submission of transit trade record certificate issued by the transit port customs, requiring the bill of lading to indicate "goods have entered the territory", requiring submission of the downstream buyer's receipt confirmation, etc. If the letter of credit contains such soft clauses, the seller will be unable to submit conforming documents in time, thus failing to receive settlement funds, even facing letter of credit dishonor.

In practice, you need to require the buyer to delete the soft clauses in the letter of credit in advance. If the buyer refuses to delete, you need to require the buyer to provide a bank guarantee as security to ensure that settlement funds can still be received when documents cannot be submitted. In addition, you need to clearly specify the cargo right transfer node and settlement fund receipt and payment time in the upstream and downstream contracts to avoid cargo right disputes.

### Answer 7

Cost optimization of transit trade settlement needs to be planned as a whole from the perspective of supply chain structure, and settlement costs can be reduced by selecting appropriate transit ports and settlement banks. In terms of transit port selection, you need to select ports with long free storage period and low transit costs (such as Port of Singapore, Port of Hong Kong), so as to reduce the cargo transit cost and indirectly reduce the occupation of settlement funds.

In terms of settlement bank selection, you need to select banks with special transit trade settlement channels, which can provide more favorable exchange rates and settlement handling fees, usually 20%-30% lower than ordinary settlement channels. In addition, the "centralized settlement" mode can be adopted to centralize the foreign exchange receipt and payment of multiple transit trade orders for settlement, so as to obtain the bank's batch settlement discount and further reduce settlement costs. In practice, you need to sign a special transit trade settlement agreement with the bank in advance, clarify the settlement rate and preferential policies to ensure the compliance of cost optimization.
