# Do formal foreign exchange payment procedures need to be handled throughout the entire process of entrepot trade? Are there any compliance exceptions?

## Question

I am the owner of a small and medium-sized foreign trade enterprise mainly engaged in Southeast Asia entrepot trade. Last week, I finalized a natural rubber order transshipped from Malaysia to the EU. I have only handled foreign exchange payment for general trade before, and have no knowledge of the foreign exchange payment rules for entrepot trade at all. My finance staff came to me in a panic this morning, saying that he heard from peers in private that some entrepot trade does not require foreign exchange payment, but he is also afraid of violating regulations and being investigated by customs. Now the client is urging us to finalize the settlement plan this week, and I am also very flustered, afraid that mistakes will lead to customs detention of goods, freezing of the company's foreign exchange account, and even affect all subsequent foreign trade businesses. I would like to ask whether foreign exchange payment is required for entrepot trade? Are there any compliant exceptions, and what are the chain risks if foreign exchange payment is not made as required?

### Answer 1 — Best Answer

First of all，we need to clarify a common industry misunderstanding: many practitioners mistakenly believe that entrepot trade which is "both ends overseas and no entry into the domestic territory" can skip the foreign exchange payment process，which is actually a serious compliance loophole，and also one of the false trade means that the State Administration of Foreign Exchange (SAFE) has focused on cracking down on in recent years.

If you illegally skip the foreign exchange payment link，it will first trigger the intelligent early warning of the bank's foreign exchange settlement system，and then initiate the special verification of SAFE. Once the verification finds that the capital flow is completely disconnected from the cargo flow and document flow，the customs will directly mark the transaction as "abnormal trade". In minor cases，the enterprise will be required to complete the foreign exchange payment and pay a fine of 5%-10% of the transaction amount. In severe cases，the goods will be detained at the transit port，resulting in high container detention fees and storage fees，or even be identified as false trade，leading to the freezing of the enterprise's foreign exchange account and inclusion in the foreign trade dishonesty blacklist. All subsequent cross-border businesses will be subject to key supervision by the customs and SAFE，and even cannot carry out any import and export business.

Physical risk isolation measures: You must apply for the record filing of foreign exchange payment for entrepot trade to the local SAFE in advance，ensure that transaction contracts，bills of lading，commercial invoices，packing lists and other documents are fully matched，strictly achieve the consistency of "cargo flow，capital flow，document flow and contract flow"，and eliminate any document fraud or information inconsistency.

**Exclusive loss mitigation tips**: If there is a situation of missing foreign exchange payment or non-compliant foreign exchange payment，you need to proactively submit a detailed situation explanation and the bank voucher of supplementary foreign exchange payment to SAFE within 3 working days to strive for lenient treatment and avoid triggering the dishonesty punishment mechanism.

### Answer 2

From the perspective of customs declaration compliance, foreign exchange payment for entrepot trade is one of the core links to complete the logical closed loop of the entire trade chain. When reviewing the customs declaration form for entrepot trade, the customs will simultaneously check the corresponding foreign exchange payment voucher.

If valid foreign exchange payment certificates cannot be provided, it will be judged as "false entrepot trade", triggering three-level customs inspection. It will not only require the enterprise to pay relevant taxes and fees, but also include the enterprise in the customs key monitoring list.

All subsequent entrepot trade declaration forms will be subject to 100% manual review, and even the enterprise's entrepot trade declaration qualification will be suspended. In addition, if the entrepot goods involve sensitive commodities, failure to pay foreign exchange may also be identified as smuggling suspicion, leading to criminal risks.

### Answer 3

From the perspective of international tax planning, foreign exchange payment for entrepot trade is directly related to cross-border tax compliance. If foreign exchange payment is not completed in accordance with regulations, the enterprise cannot include the cost of this transaction into pre-tax deductions, which will lead to a falsely high corporate income tax burden.

At the same time, if the entrepot trade involves VAT deferred declaration, failure to pay foreign exchange will be recognized by the tax authority as failing to complete the real transaction, requiring payment of deferred VAT and late fees, and even triggering cross-border related transaction verification. If it is identified as profit transfer, it will also face anti-tax avoidance investigation, and pay high taxes and fines.

### Answer 4

From the perspective of cross-border receipt and payment compliance, foreign exchange payment for entrepot trade shall strictly follow the "three principles of due diligence" of SAFE. Enterprises shall prepare a full set of documents for entrepot trade in advance, including upstream and downstream transaction contracts, copies of bills of lading, commercial invoices, packing lists, etc., to ensure that the document information is fully matched.

When making foreign exchange payment, it is necessary to clearly mark "entrepot trade foreign exchange payment" to the bank and provide the corresponding record filing number. If offshore account settlement is adopted, it is necessary to ensure that the capital flow of the offshore account is consistent with the domestic record filing information, so as to avoid account freezing measures taken by SAFE caused by abnormal cross-border capital flow.

### Answer 5

From the perspective of international trade law, foreign exchange payment for entrepot trade is the core clause for performing contractual obligations. If the payment time and method are clearly agreed in the contract, the enterprise's failure to pay foreign exchange as agreed will constitute a breach of contract, facing claims from downstream customers, including liquidated damages, port detention fees, cargo depreciation losses, etc. At the same time, if the entrepot trade adopts letter of credit settlement, failure to pay foreign exchange as required will lead to the invalidation of the letter of credit, resulting in bank refusal of payment, thus affecting the international commercial reputation of the enterprise, and making it impossible to carry out cross-border trade business through letter of credit in the future.

### Answer 6

From the perspective of international logistics cargo right control, foreign exchange payment for entrepot trade is the key node to confirm the transfer of cargo right. If the foreign exchange payment is not completed, the upstream supplier may refuse to release the bill of lading, resulting in the detention of goods at the transit port, resulting in high container detention fees and storage fees, and even being auctioned by the transit port customs.

At the same time, if the foreign exchange payment voucher cannot be provided, the logistics enterprise may refuse to handle the transit transportation procedures for the goods, resulting in the goods failing to arrive at the destination port on time, causing rejection and claims from downstream customers, which seriously affects the stability of the enterprise's logistics chain.

### Answer 7

From the perspective of export tax rebate compliance, although entrepot trade is not within the scope of export tax rebate, the foreign exchange payment voucher is the core proof material for the authenticity of the enterprise's trade. If the enterprise has entrepot trade records of unpaid foreign exchange, it will be recognized by the tax authority that the trade authenticity is doubtful, which will affect the tax rebate declaration of other export businesses of the enterprise, including suspending tax rebate, requiring supplementary verification materials, and even suspending the export tax rebate qualification.

In addition, if the enterprise disguises entrepot trade as general trade to apply for tax rebate, failure to pay foreign exchange will directly trigger tax rebate inspection, require the enterprise to pay back the refunded tax and late fees, and impose a fine.
