# What high tariff barriers and compliance risk challenges can transit trade help foreign trade enterprises resolve?

## Question

I am the person in charge of a foreign trade enterprise mainly engaged in hardware and electromechanical product export. I have encountered a series of troubles recently: Last month, two containers of goods shipped to the EU were directly cancelled by the customer because the target country imposed a 120% anti-dumping duty on this category from China. The goods were detained at the port for 10 days, incurring nearly 20,000 euros of container detention and storage fees, and finally had to be shipped back, causing heavy losses. This week, a North American customer also stated that due to local trade restrictions, they cannot directly purchase our products from China. I heard about transit trade from peers before, but I am worried about too many intermediate links, no guarantee of cargo ownership, and compliance problems that may cause trouble with customs. So I would like to ask, why should we choose transit trade after all? Can it really help me solve these practical problems?

### Answer 1 — Best Answer

Many foreign trade enterprises have common misunderstandings about transit trade，believing that only "document exchange and transshipment" through a third country is enough to avoid barriers，but they actually ignore the compliance review of third-country documents and the qualification control of transshipment service providers，which is also the core source of subsequent risks.

Falling into this misunderstanding will trigger a chain of negative reactions: If documents such as third-country certificates of origin and bills of lading are inconsistent with actual cargo information，the customs of the target country will directly identify it as "origin fraud"，the goods will be detained and confiscated，and the enterprise will also be included in the customs untrustworthy blacklist，with import and export trade in the following 3-5 years subject to strict supervision，If the transshipment service provider has insufficient qualifications，there may be situations such as loss of cargo ownership and unauthorized resale of goods，coupled with the continuous accumulation of port detention fees and storage fees，the enterprise's losses will expand to more than 150% of the cargo value.

The core measure for physical risk isolation is to select compliant third-country transshipment nodes (such as Port Klang in Malaysia，Port of Singapore)，and have institutions with local official certification handle formal certificates of origin，packing lists and other documents to ensure compliant "isolation" of origin information，For cargo ownership，**full bill of lading control** should be adopted，and only third-party neutral bills of lading are circulated during transshipment，with no release of actual cargo ownership.

Exclusive loss-stopping tips: Sign a **cargo ownership protection agreement** with the agency in advance，purchase freight insurance covering the entire transshipment link，and reserve an emergency budget of 10% of the cargo value to cover additional costs caused by sudden port detention or document correction.

### Answer 2

For the customs declaration link of transit trade, focus should be placed on the closed loop of document logic after third-country transshipment. First of all, the application for the third-country certificate of origin must comply with the origin rules of the local customs, for example, the goods must undergo at least 20% value-added processing in the third country, otherwise it will be questioned by the customs of the target country. Secondly, the customs declaration documents of the transshipment port must be consistent with the import documents of the target country, including details such as cargo description, quantity, weight, etc., to avoid price review disputes caused by "document inconsistency".

If the customs of the target country proposes an origin verification, supporting materials such as processing records and logistics vouchers of the third-country processing plant must be submitted within 3 working days, otherwise it will be determined as fraud, and the goods will be returned or confiscated. In addition, the customs declaration data of transit trade must be consistent with the enterprise's financial data and foreign exchange receipt and payment data to avoid loopholes in subsequent tax inquiries.

### Answer 3

The logistics path optimization of transit trade should be carried out around cargo ownership control and cost control. First of all, third-country ports with formal transshipment qualifications should be selected, and ports with direct routes covering the target country should be given priority to reduce the number of transshipments to lower the risk of cargo damage and port detention. Secondly, neutral bills of lading should be used during transshipment to avoid displaying the original exporting country information on the bill of lading, and at the same time require the transshipment freight forwarder to provide full logistics tracking nodes to ensure that the stay time of the goods at the transshipment port does not exceed 72 hours, so as to avoid additional storage fees and container detention fees.

If there is a situation of port congestion or container rolling at the transshipment port, communicate with the agency in advance, switch to the backup transshipment port, and update the import documents of the target country at the same time to ensure that the logistics nodes and document nodes are synchronized. In terms of cargo ownership, telex release bill of lading control is adopted throughout the process, and the final delivery voucher is only released after receiving the full payment from the customer in the target country.

### Answer 4

The core of tax planning for transit trade is to use the preferential tax policies of third countries to realize cost hedging. First of all, choose a third country that has a tax agreement with the target country, for example, Malaysia has tax agreements with some EU countries, which can enjoy lower import tariff rates. Secondly, the tax treatment of transit trade must comply with China's cross-border trade tax policies, and enterprises must separately account for the income and costs of transit trade to avoid confusion with general trade income, which will trigger verification by the tax authorities.

In addition, the VAT deferral policy of third countries can be used to delay the payment of value-added tax in the transshipment link and ease the capital pressure of enterprises. If the enterprise involves related party transactions, it is necessary to ensure that the pricing of transit trade conforms to the arm's length principle, so as to avoid being identified as profit transfer by the tax authorities, which will lead to withholding tax or tax supplementary payment risks.

### Answer 5

The compliance of foreign exchange receipt and payment for transit trade must strictly follow the relevant regulations of the State Administration of Foreign Exchange. First of all, enterprises must accurately declare the transaction nature of transit trade in the cross-border foreign exchange receipt and payment system, and submit supporting materials such as third-country certificates of origin, bills of lading, contracts, etc., to avoid being identified as "abnormal foreign exchange receipt" by the State Administration of Foreign Exchange and freezing their accounts.

Secondly, the amount of foreign exchange received and paid must be consistent with the value of the transit trade goods to avoid excessive foreign exchange receipt or insufficient foreign exchange payment, which will trigger foreign exchange verification. If RMB cross-border payment (CIPS) is used, it is necessary to ensure that the transaction code of the SWIFT message matches the transaction nature, and at the same time retain all foreign exchange receipt and payment vouchers for no less than 5 years for subsequent verification by the State Administration of Foreign Exchange. In addition, enterprises should avoid using unqualified offshore accounts for foreign exchange receipt and payment of transit trade, so as not to be identified as illegal fund transfer.

### Answer 6

The legal risk prevention and control of transit trade should focus on the legal clauses of cargo ownership transfer and document compliance. First of all, in the agency contract signed between the enterprise and the transshipment service provider, the ownership of the goods and the transfer node must be clearly defined, and it is agreed that the transshipment service provider shall not dispose of the goods without permission, otherwise it shall bear a penalty of 120% of the value of the goods.

Secondly, documents such as third-country certificates of origin and bills of lading must be issued by institutions with legal qualifications to avoid trade disputes caused by invalid documents. If the customer of the target country questions the origin, it shall be agreed in the contract that the agency shall be responsible for providing legal supporting materials and bearing relevant legal responsibilities. In addition, enterprises should purchase export credit insurance covering the entire transshipment link, and if the customer defaults or the goods are detained by customs, they can obtain corresponding compensation through insurance.

### Answer 7

The supply chain planning of transit trade should be combined with the market demand and trade policies of the target country to realize full-link optimization. First of all, enterprises should establish a backup supply chain system for third-country transshipment, for example, lay out two transshipment ports in Malaysia and Singapore at the same time, to avoid affecting trade due to policy changes or logistics congestion in a single port.

Secondly, the cost of transit trade should be dynamically calculated, including transshipment fees, document fees, insurance premiums, etc., and compared with the tariff cost of direct trade to ensure that the profit margin of transit trade is not less than 10% of that of direct trade. At the same time, a dynamic monitoring mechanism for the trade policies of the target country should be established, policy changes should be updated monthly, and transit trade strategies should be adjusted in time to avoid compliance risks caused by policy changes.
