# Are transited goods equivalent to entrepot trade? What are the core defining criteria that distinguish the two?

## Question

I am the foreign trade manager of a building materials export enterprise in Shanghai. Last month, we shipped a batch of anti-slip ceramic tiles to Singapore for transshipment to Brazil. The freight forwarder insisted that this is entrepot trade, but the company's finance department said that we only carried out transited goods operation, which does not count as real entrepot trade. I had an argument with both sides yesterday. Now the Brazilian customer is urging to pick up the goods every day, and the Shanghai tax authority requires us to supplement supporting documents for the nature of the trade. I am extremely anxious. I stayed up late to check information but got more confused as I read. I would like to ask, does transited goods operation necessarily belong to entrepot trade? What are the essential differences between the two in terms of compliance judgment, tax declaration and logistics process? Will my confusion of these two concepts lead to cargo detention in port or tax violation?

### Answer 1 — Best Answer

Many foreign trade practitioners have a common misunderstanding: they believe that as long as transited goods operation is involved，it is equivalent to engaging in entrepot trade. This cognitive deviation can easily lead to a series of compliance risks.

If you mistakenly declare pure transited goods as entrepot trade，you may face misdeclaration risks at the tax level，leading to overpayment or underpayment of cross-border taxes and fees. In serious cases，it may also trigger tax audits and affect the enterprise's tax credit rating，at the customs level，inconsistent declaration of trade nature may lead to cargo detention in port，generate high detention fees for containers and ports，and even affect the subsequent customs clearance efficiency of goods.

To isolate such risks，first of all，the core judgment standard must be clarified: **The core of entrepot trade lies in two transfers of property right (that is，domestic enterprises buy first and then sell)，while pure transited goods only involve logistics transit，with no property right transaction link**. For example，your company shipped ceramic tiles to Singapore for transshipment to Brazil. If you only entrusted the freight forwarder to carry out logistics transit and did not conduct purchase and sale transactions with Singaporean entities，it belongs to transited goods operation，not entrepot trade.

Exclusive loss reduction tips: Sort out the full set of documents for this business immediately，including logistics entrustment agreement，sales contract (if any)，bill of lading title，etc. If it is confirmed that there is no property right transfer，submit the logistics transit certificate to the tax authority in time，revise the trade nature declaration，and inform the freight forwarder to adjust the customs declaration information to avoid the risk of cargo detention in port.

### Answer 2

In the customs declaration process, there are clear differences in declaration codes and document requirements between transited goods and entrepot trade. Transited goods shall be declared as "transit goods" or "passing goods", and only documents such as logistics entrustment agreement and storage certificate at the transit place are required; while entrepot trade shall be declared as "entrepot trade", and a full set of trade documents including the contracts, invoices, payment and receipt vouchers for the two preceding and subsequent transactions must be submitted at the same time.

If transited goods are mistakenly declared as entrepot trade, the customs will trigger valuation disputes due to the lack of core trade documents. In minor cases, you will be required to delete the declaration and resubmit, resulting in additional declaration costs. In serious cases, it will be identified as false declaration, which affects the enterprise's customs credit rating and greatly increases the probability of being targeted for inspection in subsequent customs clearance.

In addition, the core basis for the customs to determine the nature of trade is whether the property right is transferred at the transit place. If it is only logistics transit without involving property right transactions, even if the goods are stored at the transit place, it does not fall into the category of entrepot trade.

### Answer 3

From the perspective of logistics path and cargo right control, the core difference between transited goods and entrepot trade lies in the node of cargo right ownership. The logistics operation of transited goods is only path transit. Whether it is direct transit or short-term storage at the transit place, the cargo right is always held by the original exporter.

The title of the bill of lading is usually the original exporter or its designated freight forwarder, and the endorsement is only used for logistics transit operations; while the cargo right of entrepot trade will be transferred at the transit place. Domestic enterprises need to transfer the cargo right to the trade entity at the transit place first, and then the entity transfers it to the final buyer. The title of the bill of lading will be changed to the trade entity at the transit place, and two endorsement transfers are required.

If the cargo right control logic of the two is confused, it may lead to cargo right disputes: for example, if transited goods are mistakenly operated as entrepot trade, the trade entity at the transit place may take delivery of the goods illegally, and the original exporter will face the risk of losing both goods and payment. In addition, for transited goods, direct transit can be prioritized in the logistics scheme to reduce the risk of port detention, while for entrepot trade, time for cargo right delivery at the transit place needs to be reserved, and the connection process between storage and delivery shall be confirmed in advance.

### Answer 4

At the tax level, there are essential differences in declaration rules and tax exemption application conditions between transited goods and entrepot trade. Transited goods are only for logistics transit, with no property right transfer, which does not belong to taxable trade activities. There is no need to declare value-added tax and income tax domestically, and only logistics transit documents need to be kept for future reference; while entrepot trade belongs to cross-border taxable trade, and sales revenue and procurement cost need to be declared domestically.

If it meets the condition of "goods not entering the territory of China", it can apply for tax exemption for cross-border taxable activities, but a full set of filing documents including contracts, bills of lading, payment and receipt vouchers for the two preceding and subsequent transactions are required. If transited goods are mistakenly declared as entrepot trade, it will lead to false increase of taxable income of the enterprise and overpayment of unnecessary taxes and fees; on the contrary, if entrepot trade is treated as transited goods by mistake, it will trigger tax audit due to failure to declare taxable income, and face the risk of paying back taxes, late fees and even fines. In addition, if entrepot trade involves the EU market, VAT deferral can be applied for, while transited goods cannot enjoy this policy benefit.

### Answer 5

At the level of payment and receipt compliance, there are completely different settlement processes and filing requirements between transited goods and entrepot trade. The payment and receipt of transited goods directly occur between domestic enterprises and the final buyer/seller, without going through the trade entity at the transit place. When receiving or paying foreign exchange, you only need to note "payment for goods in logistics transit", and there is no need to file separately with the State Administration of Foreign Exchange; while the payment and receipt of foreign exchange for entrepot trade need to be completed in two steps: domestic enterprises first settle with the trade entity at the transit place, and then the trade entity at the transit place settles with the final buyer. Before receiving or paying foreign exchange, you need to submit an application for entrepot trade filing to the State Administration of Foreign Exchange, and provide documents such as contracts and bills of lading for the two preceding and subsequent transactions.

If entrepot trade is mistakenly settled as transited goods, the State Administration of Foreign Exchange will trigger abnormal verification due to the inconsistency between the payment/receipt entity and the trade background. In minor cases, you will be required to supplement supporting materials, and in serious cases, the cross-border payment and receipt authority of the enterprise will be suspended, affecting the capital turnover of subsequent businesses. In addition, the SWIFT message for entrepot trade should be clearly marked with "Entrepot Trade Payment" to avoid being judged as abnormal transaction by the foreign exchange system.

### Answer 6

From the perspective of legal relations, there is a clear division of contract nature and boundary of rights and obligations between transited goods and entrepot trade. Transited goods correspond to logistics entrustment contracts. The relationship between domestic enterprises, freight forwarders and storage parties at the transit place is an entrustment agency relationship.

The core rights and obligations revolve around the transit, storage and transportation of goods, with no agreement on property right transfer; while entrepot trade involves two independent sales contracts: the sales contract between the domestic enterprise and the trade entity at the transit place, and the sales contract between the trade entity at the transit place and the final buyer. The contract shall clearly stipulate the time, place and liability for breach of contract of property right transfer.

If the legal relations of the two are confused, it may lead to contract disputes: for example, if the logistics entrustment contract is mistakenly marked as an entrepot trade contract, the entity at the transit place may claim the property right on this ground, and the domestic enterprise will face the legal risk of property right dispute. In addition, the entrepot trade contract shall clearly stipulate that "goods shall not enter the domestic market of the transit place" to avoid being identified as general trade import and increasing additional tariff costs.

### Answer 7

In the on-site customs inspection link, there are clear differences in inspection focus and required supporting materials between transited goods and entrepot trade. The core of inspection for transited goods is to confirm the physical integrity and transit attribute of the goods.

Inspectors will focus on checking the authenticity of container seals, whether the goods have traces of unpacking, and the authenticity of the storage agreement at the transit place. Only documents such as logistics entrustment agreement and storage certificate at the transit place are required; while the core of inspection for entrepot trade is to confirm the authenticity of the trade background.

Inspectors will check whether the quantity, specification and value of the goods are consistent with the documents against the contracts and invoices of the two preceding and subsequent transactions, and two sets of trade documents need to be submitted at the same time. If transited goods are mistakenly declared as entrepot trade, it will be determined as false declaration because the trade contract cannot be provided during on-site inspection, the goods will be temporarily detained, and the enterprise needs to submit a statement of circumstances and apply for deletion of the declaration and re-submission, resulting in high port detention fees and container detention fees; on the contrary, if entrepot trade is declared as transited goods, it will be suspected of smuggling due to the lack of trade documents, triggering in-depth inspection and prolonging customs clearance time.

### Answer 8

From the perspective of goods packaging and labeling, there are subtle but critical differences in packaging requirements and labeling specifications between transited goods and entrepot trade. The core of packaging for transited goods is to ensure the physical safety of goods during transit transportation. Moisture-proof and reinforcement treatment shall be carried out according to the transportation environment of the transit path (such as high temperature and high humidity).

For dangerous goods, the packaging shall meet the dangerous goods transportation standards of the transit place; while the packaging of entrepot trade, in addition to transportation safety requirements, also needs to meet the trade labeling specifications of the transit place. For example, the shipping mark and goods number of the trade entity at the transit place shall be marked to facilitate property right delivery and delivery operation at the transit place.

If the packaging requirements of the two are confused, it may lead to problems in the transit link: for example, if the goods of entrepot trade are not marked with the shipping mark of the entity at the transit place, the storage party at the transit place cannot confirm the ownership of the property right, leading to delivery delay; over-packaging of transited goods according to entrepot trade requirements will increase unnecessary packaging costs. In addition, for entrepot trade of dangerous goods, MSDS conforming to the standards of both the transit place and the final destination country shall be provided at the same time, while for transited goods, only MSDS conforming to the standards of the original exporting country and the final destination country is required.

### Answer 9

From the perspective of export tax rebate compliance, there are essential differences in tax rebate application conditions and document requirements between transited goods and entrepot trade. If transited goods are declared for export by domestic enterprises to the transit place and then transshipped to the final destination country, it belongs to the extension of general trade export, which meets the export tax rebate conditions. Documents such as export declaration form, bill of lading and foreign exchange receipt voucher are required to apply for tax rebate; while the goods of entrepot trade do not enter the territory of China, and domestic enterprises only act as intermediaries to complete two cross-border transactions, which do not fall into the scope of application of export tax rebate.

If you apply for tax rebate by mistake, it will trigger tax correspondence adjustment, be identified as defrauding export tax rebate, and face the risk of paying back taxes, late fees and fines. In addition, when declaring export tax rebate for transited goods, "transit goods to XX country (region)" shall be marked in the remark column to facilitate the tax authority to verify the final flow of goods; while the income of entrepot trade shall be declared as "cross-border service income" in the enterprise income tax declaration, and shall not be included in export sales income.

### Answer 10

From the perspective of supply chain planning, the supply chain structure and cost optimization direction of transited goods and entrepot trade are completely different. The supply chain structure of transited goods is "domestic production base - logistics node at transit place - buyer in final destination country".

The core optimization direction is the selection of logistics path and cost control, for example, priority is given to direct transit to shorten transportation time and reduce port detention fees; while the supply chain structure of entrepot trade is "overseas supplier - domestic intermediary - trade entity at transit place - final buyer". The core optimization direction is to use the trade policies and tax preferences of the transit place to reduce the overall cost, for example, select a transit place with zero tariff policy to reduce cross-border tax expenditure.

If the supply chain logic of the two is confused, it may lead to cost out of control: for example, if entrepot trade is operated as transited goods, the tax preferences of the transit place cannot be used, increasing additional tariff and value-added tax costs; if transited goods are operated as entrepot trade, the commission cost of the intermediate trade link will be added, reducing the overall profit. In addition, the inventory of transited goods belongs to the export inventory of domestic enterprises and shall be included in the export inventory management system, while the inventory of entrepot trade belongs to the trade entity at the transit place and does not affect the inventory turnover rate of domestic enterprises.

"text": "In the on-site customs inspection link, there are clear differences in inspection focus and required supporting materials between transited goods and entrepot trade. If transited goods are mistakenly declared as entrepot trade, it will be determined as false declaration because the trade contract cannot be provided during on-site inspection, the goods will be temporarily detained, and the enterprise needs to submit a statement of circumstances and apply for deletion of the declaration and re-submission, resulting in high port detention fees and container detention fees; on the contrary, if entrepot trade is declared as transited goods, it will be suspected of smuggling due to the lack of trade documents, triggering in-depth inspection and prolonging customs clearance time.",

"text": "From the perspective of goods packaging and labeling, there are subtle but critical differences in packaging requirements and labeling specifications between transited goods and entrepot trade. In addition, for entrepot trade of dangerous goods, MSDS conforming to the standards of both the transit place and the final destination country shall be provided at the same time, while for transited goods, only MSDS conforming to the standards of the original exporting country and the final destination country is required.",

"text": "From the perspective of export tax rebate compliance, there are essential differences in tax rebate application conditions and document requirements between transited goods and entrepot trade. In addition, when declaring export tax rebate for transited goods, "transit goods to XX country (region)" shall be marked in the remark column to facilitate the tax authority to verify the final flow of goods; while the income of entrepot trade shall be declared as "cross-border service income" in the enterprise income tax declaration, and shall not be included in export sales income.",

"text": "From the perspective of supply chain planning, the supply chain structure and cost optimization direction of transited goods and entrepot trade are completely different. In addition, the inventory of transited goods belongs to the export inventory of domestic enterprises and shall be included in the export inventory management system, while the inventory of entrepot trade belongs to the trade entity at the transit place and does not affect the inventory turnover rate of domestic enterprises.",
