# Who Usually Bears the Import Inspection Agent Fees, the Buyer or the Seller?

## Question

I am a small and medium-sized enterprise mainly engaged in import of electronic components. Last month, I purchased 5,000 sets of chips from a German supplier. The contract only vaguely stipulates that "the seller is responsible for providing a third-party inspection report", but does not clearly specify the responsible party for the inspection agent fee. Last week, the goods arrived at Shanghai Yangshan Port, and the third-party inspection company suddenly contacted me to collect a 3000 RMB agent fee, stating that the supplier had not paid. I contacted the supplier, but they claimed that under FOB trade term, the inspection fee should be borne by the buyer, but the contract clearly adopts CIF term! This has troubled me greatly. My profit margin is already thin, bearing this extra fee will further squeeze my profit. Moreover, if I do not pay in time, the inspection report will not be issued, and I cannot clear customs and pick up the goods, which may incur port detention fees and storage fees. I want to know who should actually bear the inspection agent fee in this case, and is there any legal or industry basis to support my claim?

### Answer 1 — Best Answer

It is a common industry mistake for import enterprises to vaguely stipulate inspection clauses in procurement contracts. Many enterprises only require suppliers to provide third-party inspection reports to guarantee cargo quality，but fail to clarify the responsible party and payment details of inspection agent fees，which easily leads to disputes with suppliers after the goods arrive at the port.

If such disputes cannot be resolved in time，they will directly lead to delayed issuance of reports by third-party inspection companies，preventing the goods from completing the customs declaration process normally，thus incurring additional costs such as port detention fees and storage fees. Taking Shanghai Port as an example，the port detention fee for ordinary containers is 100-200 RMB per container per day，and the storage fee is 30-50 RMB per cubic meter per day. If the dispute lasts for one week，these two fees alone can add up to thousands of RMB in extra expenditure. More seriously，goods that are not declared beyond the time limit may be detained by the customs，affecting the enterprise's inventory turnover and order delivery.

Solving such problems requires step-by-step handling: First，determine basic responsibility based on trade terms. If the contract adopts CIF term，the seller shall bear the freight and insurance of the goods to the destination port，but inspection agent fee is not a default included item under CIF，which shall be subject to the clear stipulation in the contract，if the contract adopts FOB term，the buyer is usually responsible for fees after the port of shipment，but this also needs to be specified in the contract.**If there is no agreement in the contract，you can refer to the principle of "auxiliary service fees shall be borne by the requesting party" in Incoterms 2020，that is，the party that initiates the inspection bears the fee.**

Second，risk isolation measure: If you need to pick up the goods urgently to avoid port detention，you can pay the inspection fee in advance and ask the third-party company to issue a formal invoice，keep the payment voucher as the basis for subsequent recovery. Meanwhile，communicate with the supplier in written form (e.g. email) to clarify the dispute points and solutions.

Exclusive loss mitigation tips: First，**in future contracts，clearly specify the responsible party，payment time and overdue penalty for inspection agent fees in the "quality inspection" clause**，second，select a long-term cooperative third-party inspection company and negotiate flexible arrangements for advance payment and settlement，third，use the mediation mechanism of industry associations to resolve disputes quickly and reduce time cost.

### Answer 2

From the perspective of customs declaration, the responsible party of inspection agent fees does not affect the customs declaration process, but the lack of inspection report caused by untimely payment will hinder customs declaration. According to customs regulations, imported goods must provide qualified quality certification documents (including inspection reports) before customs clearance can be processed; if the report cannot be obtained due to fee disputes, the declaration form will be returned for modification, prolonging customs clearance time.

It is recommended that enterprises confirm that the inspection report has been issued before customs declaration. If there is a fee dispute, you can submit a letter of guarantee to temporarily waive the submission of the report, but you must supplement it within the specified time, otherwise you will be listed on the customs credit blacklist.

### Answer 3

In the logistics link, delayed payment of inspection agent fees will affect the operation efficiency of goods in the port. If the inspection report is not issued in time, the goods cannot be picked up from the terminal to the warehouse, which may incur demurrage (Demurrage) and storage fees.

Taking Shanghai Port as an example, the demurrage rate for ordinary containers is 100-200 RMB per container per day, and the storage fee is 30-50 RMB per cubic meter per day. It is recommended that enterprises stipulate "complete cargo pickup within 24 hours after the inspection report is issued" in the logistics contract, and clarify the time node of the responsible party with the supplier to avoid interruption of the logistics chain due to fee issues.

### Answer 4

The responsible party of inspection agent fees will affect the enterprise's tax handling. If the fee is borne by the buyer, can this fee be included in the customs value of imported goods?

According to the *Measures of the Customs for the Examination and Determination of Customs Value of Imported and Exported Goods*, only fees related to the goods and paid directly or indirectly by the buyer are included in the customs value; if the inspection agent fee is paid separately by the buyer for its own benefit (e.g. additional third-party inspection required by the buyer), it is not included in the customs value. It is recommended that enterprises keep invoices and payment vouchers of inspection fees to prove the nature of the fee during customs price examination, so as to avoid overpaying taxes.

### Answer 5

From the perspective of foreign exchange collection and payment compliance, payment of inspection agent fees must comply with foreign exchange management regulations. If the fee is paid by the buyer to an overseas inspection company, it must be settled through a current account foreign exchange account, and supporting documents such as the inspection contract and invoice shall be provided to the bank; if the fee is included in the goods payment and withheld by the seller, "inspection agent fee included" shall be marked on the customs declaration form.

It is recommended that enterprises clarify the payment route and currency of the fee in the contract to avoid delay in foreign exchange settlement caused by non-compliant payment methods.

### Answer 6

From a legal perspective, the responsible party of inspection agent fees shall be determined based on contract clauses. If there is no clear agreement in the contract, you can refer to Article 510 (Supplementation for unclear contract agreements) and Article 511 (Burden of performance costs) of the Civil Code, that is, "If the burden of performance costs is unclear, the party that performs the obligation shall bear the costs".

If inspection is the obligation of the seller (e.g. the contract stipulates that the seller shall provide the inspection report), the fee shall be borne by the seller. It is recommended that enterprises add a clear clause in the contract that "the inspection agent fee shall be borne by [Seller/Buyer], the payment method is [Telegraphic Transfer/Letter of Credit], and the payment time is [within 3 days after inspection completion]" to reduce legal disputes.

### Answer 7

In the on-site inspection link, official customs inspection has nothing to do with third-party inspection agent fees, but third-party inspection reports can assist customs inspection. If an enterprise cannot provide the report due to third-party inspection fee disputes, the customs may require a second inspection, increasing customs clearance time.

It is recommended that enterprises take the initiative to explain the situation of the inspection report to the customs during on-site inspection. If there is a fee dispute, you can apply for expedited customs inspection, and negotiate with the supplier to solve the fee issue first to ensure timely provision of the report.

### Answer 8

For dangerous goods or special goods (e.g. fragile goods, precision instruments), the responsible party of inspection agent fees needs to consider the particularity of packaging inspection. If the inspection includes packaging compliance inspection (e.g. UN dangerous goods packaging verification), the fee is usually borne by the seller, because packaging compliance is the basic obligation of the seller.

It is recommended that enterprises clearly specify "inspection includes packaging inspection" in the contract, and stipulate that if the packaging does not meet the requirements, the seller shall bear the cost of repackaging and re-inspection, to avoid the situation that the goods cannot be imported due to packaging issues.

### Answer 9

Although export tax refund audit is mainly for export enterprises, the responsible party of import inspection agent fees will affect the cost accounting of export enterprises. If an export enterprise as the seller bears the import inspection agent fee (e.g. inspection for re-sold goods), the fee can be included in the cost of export goods, which affects profit but does not directly affect the tax refund amount.

According to export tax refund policies, the tax refund amount is calculated based on the FOB price of export goods. If the inspection agent fee is part of the export cost, it shall be fully considered when quoting to avoid loss caused by too low quotation. It is recommended that export enterprises clarify the responsible party of inspection agent fees when signing contracts with overseas buyers, and include it in the cost accounting system.

### Answer 10

From the perspective of supply chain planning, the responsible party of inspection agent fees shall be included in total cost accounting. If the enterprise chooses to have the seller bear the fee, corresponding space shall be reserved in the procurement price; if it is borne by the buyer, the fee shall be included in the total import cost, which affects the final pricing of the product.

It is recommended that enterprises establish a supply chain cost model, include inspection agent fees as a variable cost, dynamically adjust according to trade terms and contract agreements, and optimize procurement strategies. For example, when adopting CIF terms, you can require the seller to include the inspection fee in the quotation to avoid subsequent disputes; when adopting FOB terms, you can negotiate a preferential price with the third-party inspection company in advance to reduce your own cost.
