# Where Are the Core Compliance Operation Nodes for Entrepot Trade in 2026?

## Question

I am the owner of a solid wood furniture export enterprise. I recently received an order from Europe, but due to excessively high anti-dumping duties, I plan to adopt the Malaysia entrepot trade route. However, when the first batch of goods was transshipped at Port Klang last week, the freight forwarder informed me that my bill of lading did not have a telex release endorsement, which made cargo ownership transfer impossible and resulted in detention charges. What is more troubling is that my finance team stated the payment and receipt process for entrepot trade differs from that of general trade, and they are concerned about potential foreign exchange verification issues, even the risk of being identified by tax authorities as issuing false value-added tax invoices. Now the goods are detained at the port and the customer is pressing for delivery. Where should I start to solve these problems? What exactly is the key control link of entrepot trade?

### Answer 1 — Best Answer

First，for the bill of lading endorsement issue you mentioned，the core of cargo ownership control in entrepot trade lies in **the correct circulation of bills of lading**. In the Malaysia transshipment scenario，you need to ensure the freight forwarder provides a negotiable Order B/L，and complete the dual operation of "shipper endorsement + telex release instruction" — the shipper shall affix the official seal on the back of the bill of lading and mark "TO ORDER OF [name of transit agent]"，and submit a telex release letter of guarantee to the shipping company at the same time，to avoid cargo ownership being blocked at the transit port.

Second，the compliance of the payment and receipt link is another key node of entrepot trade. According to the latest regulations of the State Administration of Foreign Exchange in 2026，entrepot trade payment and receipt shall meet the principles of "consistent documents，and matching of goods flow and capital flow". You need to provide the bank with the entrepot trade contract，bill of lading issued at the transit port，commercial invoice and packing list of the transit country，as well as customs clearance documents of the final destination country，to ensure the capital flow (receiving payment from European customers → paying to Malaysian transit agent → paying to domestic suppliers) and goods flow (domestic → Malaysia → Europe) form a complete logical closed loop.

On the tax front，entrepot trade is not within the scope of China's value-added tax collection，but you need to file the entrepot trade contract and relevant documents with the tax authority to avoid being identified as domestic sales for tax imposition. In addition，if you choose Malaysia for transshipment，you can leverage the local VAT deferral policy — by registering an offshore company in Malaysia as the transit party，you can postpone the value-added tax payment time to the final sales link of the goods，thus reducing capital occupation. Note however that this policy only applies to genuine entrepot trade，and you need to submit complete transaction records to the local tax authority.

Finally，logistics route optimization is also very important. It is recommended to select a freight forwarder with entrepot trade qualification，and confirm the free storage period and detention charge standard of the transit port in advance (for example，Port Klang has a 7-day free storage period，and detention charges are collected at USD20 per TEU per day from the 8th day)，to avoid extra costs caused by document issues. If cargo ownership transfer has already been blocked，you can immediately contact the shipping company to complete the supplementary telex release endorsement，and apply to the freight forwarder for detention charge reduction or exemption to cut losses.

### Answer 2

The core of customs valuation disputes in entrepot trade lies in the determination of "reasonable transaction price". Announcement No. 12 of the General Administration of Customs in 2026 clearly stipulates that valuation for entrepot trade requires provision of purchase invoices from the transit country, transport documents and final sales contracts, to prove the value-added link of the goods is real.

If you encounter a valuation dispute, you can submit a third-party inspection report from the transit country to the customs, or provide market price data of similar goods to form a complete price logic chain, to avoid the customs overestimating the dutiable value.

### Answer 3

Logistics route optimization for entrepot trade should focus on the selection of transit ports. In Southeast Asia, Port Klang in Malaysia has relatively high transshipment efficiency, but note that its free storage period is 7 days, and detention charges are collected at USD20 per TEU per day from the 8th day. It is recommended to choose a direct transshipment scheme to avoid cargo damage caused by multiple loading and unloading.

In addition, when endorsing the bill of lading, you shall clearly indicate "TO ORDER OF SHIPPER" and attach a telex release letter of guarantee, to ensure cargo ownership can be transferred quickly during the transshipment link. If container rolling occurs, you can immediately contact the freight forwarder to switch to another shipping company to reduce delivery delay.

### Answer 4

The core of tax planning for entrepot trade lies in the application of the VAT deferral policy. Taking Malaysia as an example, if you register a local offshore company as the transit party, you can apply for VAT deferral to postpone the value-added tax payment time to the final sales link of the goods, thus reducing capital occupation.

Note however that this policy only applies to genuine entrepot trade, and you need to submit complete transaction records to the local tax authority, including purchase contracts, packing lists and transport documents. In addition, cross-border related party transaction pricing shall comply with the arm's length principle, to avoid being identified by tax authorities as profit shifting.

### Answer 5

Payment and receipt compliance for entrepot trade shall follow the "three flows alignment" principle. You shall conduct RMB cross-border payment through the CIPS system, to ensure the capital flow is consistent with the goods flow and document flow.

In addition, for offshore account management, 2026 regulatory requirements stipulate that offshore accounts need to submit transaction details monthly, and abnormal transactions (such as large-amount high-frequency receipts and payments) may lead to account freezing by the bank. It is recommended to reconcile offshore accounts monthly, and handle abnormal transaction records in time to avoid affecting capital turnover.

### Answer 6

Legal risks in entrepot trade are mainly concentrated in bill of lading clauses and contract agreements. You shall clarify the responsibilities of the freight forwarder in the transit contract, such as the party bearing detention charges, the time node for bill of lading endorsement, etc. In addition, soft clauses shall be avoided in letter of credit terms, such as "the bill of lading shall be confirmed by the issuing bank", so as to avoid payment refusal by the bank.

In case of cargo ownership disputes, you can apply for property preservation to the local maritime court with the copy of the bill of lading and telex release letter of guarantee, to ensure cargo ownership security.

### Answer 7

The focus of customs inspection in entrepot trade is the authenticity of goods. If goods are inspected at the transit port, you need to provide the purchase contract and packing list of the transit country to prove the goods are not sold within the territory of the transit country. In addition, authenticity identification of seals is very important.

It is recommended to use disposable lead seals, and indicate the seal number on the bill of lading to avoid being identified by customs as goods being swapped. If abnormal machine inspection results occur, you can immediately contact the freight forwarder to provide detailed description of the goods, to assist the customs in completing the inspection.

### Answer 8

Supply chain planning for entrepot trade needs to consider the balance between cost and risk. Transshipment in Southeast Asia has relatively low cost, but you need to pay attention to political risks (for example, the general election in Malaysia may affect logistics efficiency).

If the budget allows, you can choose Singapore as the transit port, which has higher logistics efficiency but correspondingly higher costs. In addition, the inventory linkage strategy is very important.

It is recommended to stock up at the transit port in advance to shorten the delivery cycle. At the same time, you need to regularly evaluate the logistics efficiency of the transit port, and adjust the supply chain scheme in a timely manner.
