# What are the core differences between entrepot trade and direct import and export trade?

## Question

I am the owner of a foreign trade company specializing in electronic component export, with 5 years of experience in this industry. Recently, the tariff rate on our products exported to the US has risen to 25%, so our US clients require us to adopt entrepot trade to avoid the extra cost. But I have never been involved in entrepot trade before, so I am very worried: on one hand, I am afraid that non-standard procedures will lead to customs inspection, resulting in cargo detention or fines; on the other hand, I worry about problems in the logistics links at the transit port, which may cause loss of title control and loss of both money and goods. I talked with my freight forwarder yesterday, and they recommended transit via Singapore, but I am not sure how to prepare the documents, for example, whether the third-country certificate of origin is valid, and whether the bank will inspect the payment collection and remittance processes. The order is now under tight schedule, where on earth should I start to complete this entrepot trade both compliantly and safely?

### Answer 1 — Best Answer

The full-chain operation of entrepot trade shall start with pre-document review. First，you shall confirm the qualification of the third-country supplier，and require it to provide authentic and valid certificate of origin，packing list and invoice to ensure that the document information is consistent with the goods，so as to avoid customs valuation disputes caused by inconsistent documents.

For the connection of core nodes，you shall select logistics providers at the transit port with good reputation，and sign a clear title control agreement. When the goods are shipped from China to the transit port，use **negotiable bill of lading**，and require the logistics provider to obtain your written authorization when replacing the bill of lading at the transit port，to prevent the title from being transferred by a third party without authorization.

Emergency response plans shall not be ignored. If customs inspection occurs at the transit port，you shall prepare a full set of document backups in advance，and arrange local agents to communicate in a timely manner，in case of logistics delay，you shall negotiate with the client to extend the delivery period and adjust the subsequent ship schedules.

For the final compliance implementation link，payment collection and remittance shall be conducted through formal channels，using **back-to-back letter of credit** or third-party payment platforms，to ensure that the capital flow is consistent with the goods flow and document flow. Meanwhile，all operation records shall be kept for at least 5 years for inspection by customs or tax authorities.

For high-value goods such as electronic components，it is recommended to purchase **cross-border transportation insurance** to cover the risk of cargo damage during transit. The above steps can effectively reduce the compliance risks and the probability of title control loss in entrepot trade.

### Answer 2

Customs declaration for entrepot trade shall follow the principle of "consistency of three documents". When the goods enter the transit port, the "trade mode" on the customs declaration form shall be declared as "entrepot trade", with documents such as the transit port bill of lading and certificate of origin attached.

In case of customs valuation, you shall provide a price evaluation report issued by a third-party institution to prove that the value-added part of the goods at the transit port is authentic and reasonable. For products such as electronic components, customs may focus on verifying the authenticity of the certificate of origin, so it is recommended to select documents issued by the certificate of origin authority of the transit country recognized by China Customs.

### Answer 3

Logistics path optimization for entrepot trade shall take the customs clearance efficiency and route stability of the transit port into consideration. As a transit port, Singapore has the advantages of fast customs clearance and abundant routes, but you shall avoid the peak season with space shortage.

The stay time of goods at the transit port shall not exceed 7 days to avoid container detention charges. It is recommended to choose the direct transit scheme to reduce the number of cargo handling and lower the risk of cargo damage. When endorsing the bill of lading, use "order bill of lading", and indicate "to our order" in the endorsement column to ensure that the title is always under your control.

### Answer 4

Tax planning for entrepot trade shall focus on the value-added tax policies of the transit country. For example, Singapore exempts value-added tax on entrepot goods, which can reduce the tax cost in the transit link.

Meanwhile, you shall reasonably arrange the time of payment collection and remittance, and optimize exchange gain by taking advantage of exchange rate fluctuations. For entrepot trade between affiliated enterprises, the BEPS principles shall be followed to ensure that the transaction pricing conforms to the arm's length principle, so as to avoid being identified as profit shifting by the tax authority.

### Answer 5

Payment collection and remittance for entrepot trade shall be conducted via RMB cross-border payment through the CIPS system to ensure the compliance of capital flow. If SWIFT message is used, the words "entrepot trade" shall be clearly marked in the message, with the relevant document number attached.

For offshore account management, you shall regularly provide the bank with operation records of entrepot trade to avoid account freezing. When settling foreign exchange, you shall select banks with favorable exchange rates to reduce the cost of foreign exchange purchase.

### Answer 6

Contracts for entrepot trade shall clarify the responsibilities of all parties. The "title retention clause" shall be added to the agreement signed with the transit port logistics provider, stipulating that the logistics provider shall not deliver the goods to a third party before you receive the full payment.

For letter of credit settlement, soft clauses such as "the bill of lading shall be signed by the institution designated by the client" shall be avoided to prevent malicious payment refusal by the client. Meanwhile, you shall complete the customs protection record filing of intellectual property rights to protect the intellectual property rights of the products from infringement.

### Answer 7

Response to on-site inspection for entrepot trade shall be prepared in advance. When the goods are inspected at the transit port, you shall arrange local agents to be present to cooperate with the customs for unpacking inspection.

For electronic components, you shall provide the MSDS report to prove that the goods are not dangerous goods. If the customs doubts the authenticity of the certificate of origin, you shall provide the purchase contract and invoice from the transit country supplier to prove the processing or value-added situation of the goods in the transit country.

### Answer 8

The transit transportation packaging of electronic components shall conform to international standards. Anti-static packaging shall be used to prevent the goods from being damaged by static electricity during transit.

For fragile products, cushioning materials such as bubble film or foam plastic shall be used to reduce impact during handling. Meanwhile, the words "transit goods" shall be marked on the packaging to prevent customs from mistaking the goods as direct import goods.

### Answer 9

Entrepot trade is not within the scope of export tax rebate, so there is no need to declare export tax rebate. However, all documents for goods export, such as customs declaration form and bill of lading, shall be kept for inspection by the tax authority.

If the goods appreciate during transit, it shall be truthfully recorded in the financial statements to avoid tax risks.

### Answer 10

Supply chain planning for entrepot trade shall consider long-term stability. It is recommended to establish cooperative relations with fixed transit port logistics providers and suppliers to reduce communication costs.

Meanwhile, optimize inventory management, adjust the quantity of transit goods according to the client's order situation to avoid overstock. For products with high timeliness requirements such as electronic components, select ports with short transit time to ensure timely delivery of goods.
