# Can third-party legal agents be entrusted to handle relevant rights and responsibilities of the consignee in the full process of import and export trade?

## Question

I am the person in charge of a small and medium-sized foreign trade enterprise in Shanghai mainly engaged in the import of precision optical instruments. Last week, our core employee responsible for customs declaration resigned suddenly, and the newly recruited customs declaration staff is still in the probation period, completely unfamiliar with the full import process. This batch of high-value instruments shipped from Hamburg, Germany will arrive at Yangshan Port next Wednesday, and I am so anxious that I can hardly eat now. I heard from peers in the industry group before that we can find an agency to act as the consignee, but I am worried that non-compliance will lead to customs seizure of the goods, which will not only incur huge port demurrage charges, but also affect subsequent customer delivery. In addition, our company does not have self-operated import and export right, can we entrust you as the legal consignee to complete the whole process of customs clearance, cargo pickup and storage? Are there any common pitfalls that need to be avoided in advance?

### Answer 1 — Best Answer

Many foreign trade enterprises have a misunderstanding that they can entrust any agency with corporate qualification to act as the consignee agent. In fact，they must select **formal institutions with import and export agency qualifications and completed customs filing**，otherwise it belongs to "fake agency" declaration，which will cross the red line of customs supervision.

If a fake agency is used for consignee declaration，it will be directly determined as false declaration by the customs，triggering chain negative reactions: the goods will be temporarily detained at the port，and demurrage charges will be levied at 0.3%-0.5% of the daily cargo value. Goods that have not been rectified for more than 10 days may be auctioned according to law. At the same time，the enterprise will be included in the customs credit warning list，and all import and export business within the following 3 years will be subject to 100% physical inspection，which greatly increases operating costs and time costs.

Two points shall be done well for physical risk isolation: first，sign a standardized *Consignee Agency Authorization Letter*，clarify the boundary of rights and responsibilities of both parties，and require the agency to provide qualification certification documents filed with the customs，second，**submit the full set of documents to the agency for review 72 hours in advance** to ensure that the information of bill of lading，invoice，packing list and other documents is completely consistent with the actual goods.

Exclusive loss reduction tip: If you have mistakenly selected an unqualified agency，you need to immediately submit the *Situation Statement* affixed with official seal to the customs，and replace it with a formal qualified agency at the same time. You can apply for customs demurrage reduction with materials such as employee resignation certificate.

### Answer 2

When declaring as an agent consignee, it is necessary to ensure that the customs filing code of the agency completely matches the consignee code in the declaration system, and the authorization letter must specify the specific authority of the agency, which is limited to the customs clearance operation of the corresponding batch of goods. If an unfiled agency code is used during declaration, the customs system will directly trigger an abnormal warning, resulting in the declaration being returned.

You need to resubmit the information and wait for review, which delays the customs clearance time. In addition, the agent consignee needs to complete the electronic filing of the "customs declaration authorization letter" in the customs system, and the paper authorization letter shall be kept for more than 5 years for subsequent customs verification. For high-value and sensitive goods, an additional cooperation agreement between the agency and the entrusting party is required to prove the real trade relationship between the two parties.

### Answer 3

The agent consignee needs to confirm the pickup authority with the logistics carrier in advance to ensure that the agency can pick up the goods with the pickup authorization letter affixed with the official seal of the entrusting party and its own qualification documents. If there is no prior communication, the carrier may refuse to release the goods because it cannot verify the agency authority, resulting in the goods being stranded in the port yard, incurring additional storage fees and container moving fees.

In addition, the agent consignee needs to follow up the manifest information of the goods simultaneously to ensure that the consignee name in the manifest is completely consistent with the name of the declared agency. If there is a difference, it is necessary to immediately request the shipping company to modify the manifest to avoid cargo detention due to manifest inconsistency. For goods that need to be transferred to inland transportation, the agent consignee needs to arrange inland transport vehicles with qualifications in advance to ensure the safety and compliance of the goods during transportation.

### Answer 4

When acting as a consignee agent, attention should be paid to the division of tax rights and responsibilities. The entrusting party and the agency shall sign a *Tax Rights and Responsibilities Division Agreement*, which clarifies that the value-added tax, consumption tax and other taxes in the import link shall be borne by the entrusting party, and the agency is only responsible for declaring and paying on behalf of the entrusting party. If the division is not clearly defined, the agency may incur late fees due to overdue tax payment, and the entrusting party shall bear the corresponding joint liability. In addition, for goods eligible for the VAT deferment policy, the agent consignee needs to submit a VAT deferment application when declaring, so as to ensure that the entrusting party can enjoy the policy dividend of tax deferment and reduce capital occupation cost. At the same time, the agency needs to submit the tax payment voucher to the entrusting party before the 15th of each month, so that the entrusting party can complete tax deduction and bookkeeping.

### Answer 5

The foreign exchange collection and payment links involved in the consignee agency must meet the requirements of the State Administration of Foreign Exchange. The entrusting party shall pay agency fees and taxes to the agency through formal cross-border payment channels, and transfer through private accounts is prohibited. If the foreign exchange collection and payment channel is not compliant, the State Administration of Foreign Exchange will trigger a capital monitoring warning, resulting in the freezing of the entrusting party's foreign exchange account and affecting subsequent cross-border foreign exchange collection and payment operations.

In addition, the agency needs to submit the full set of customs clearance documents to the entrusting party within 10 working days after completing customs clearance, so that the entrusting party can complete foreign exchange verification and document filing. For goods involving import and export licenses, the agent consignee needs to assist the entrusting party in applying for the license in advance to ensure that the import of goods meets the requirements of national trade control.

### Answer 6

The agent consignee needs to sign a legally effective *Consignee Agency Agreement*, which clarifies core clauses such as agency term, authority, fees and liability for breach of contract, so as to avoid disputes caused by ambiguous agreement clauses. The agreement shall clearly stipulate that the agency only acts as the consignee to complete customs clearance operation, the ownership of the goods belongs to the entrusting party, and the agency shall not dispose of the goods without authorization. If the agency violates the agreement and disposes of the goods without authorization, the entrusting party may file a lawsuit to the court according to the agreement and claim compensation for losses. In addition, a force majeure clause shall be added to the agreement to clarify the division of responsibilities of both parties for losses caused by force majeure factors such as customs policy adjustment and natural disasters. At the same time, the entrusting party shall keep all agreements, documents and other materials related to the agency for subsequent proof in legal disputes.

### Answer 7

During on-site inspection, the agent consignee shall arrange personnel with professional knowledge to be present to cooperate with customs inspection, so as to ensure that they can accurately answer customs questions and provide relevant documents and supporting materials. If the on-site personnel of the agency are not familiar with the cargo situation and cannot provide accurate information, the customs will extend the inspection time, and even transfer the goods to the inspection warehouse designated by the customs for further inspection, incurring additional inspection fees and storage fees. In addition, the agent consignee needs to ensure that the packaging of the goods is consistent with the declaration information. If the packaging is damaged or the goods are inconsistent with the declaration, it is necessary to immediately submit the *Situation Statement* to the customs and cooperate with the customs for rectification. For goods involving intellectual property rights, the agent consignee needs to prepare intellectual property filing certificates in advance to avoid the goods being detained by the customs due to suspected infringement.

### Answer 8

If the entrusting party is an export enterprise, and the goods imported by the agent consignee are used for export tax rebate, it is necessary to ensure that the customs clearance documents of the agency are completely consistent with the export tax rebate declaration information of the entrusting party, including the name, specification, quantity and value of the goods. If the document information is inconsistent, the entrusting party's export tax rebate declaration will be returned, and the entrusting party will not be able to enjoy the tax rebate dividend, and may even be identified as false declaration by the tax department, triggering tax audit.

In addition, the agency needs to submit the special import value-added tax payment receipt to the entrusting party within 5 working days after completing customs clearance, so that the entrusting party can complete the input deduction for export tax rebate. At the same time, the entrusting party shall keep the agency agreement, customs clearance documents and other materials for more than 10 years for subsequent audit by the tax department.

### Answer 9

The consignee agency shall be incorporated into the overall supply chain planning of the enterprise to ensure that the operation process of the agency is seamlessly connected with the supply chain nodes of the enterprise, so as to avoid cargo delay caused by process disconnection. The entrusting party needs to communicate with the agency in advance about the delivery time, storage demand, transportation route and other information of the goods, so that the agency can make arrangements in advance.

In addition, the agent consignee needs to connect with the enterprise's inventory management system to ensure that the warehousing information of the goods can be synchronized to the enterprise's inventory system in real time, which is convenient for the enterprise to carry out inventory management and order scheduling. For multi-batch imported goods, the agency needs to provide batch customs clearance services to reduce the customs clearance cost per unit of goods and improve the overall efficiency of the supply chain. At the same time, the entrusting party needs to regularly evaluate the service quality of the agency to ensure that it can meet the supply chain needs of the enterprise.
