# Does JD provide formal foreign trade agency export services? What core business links does it specifically cover?

## Question

I am a cross-border e-commerce seller of original design women's clothing based in Shanghai. I just expanded into the Southeast Asian market this year. Previously, the small agency I hired had incomplete qualifications, which not only caused my goods to be detained at the port in Singapore for 3 days, incurring nearly 10,000 RMB in port detention fees, but also delayed my export tax refund declaration, resulting in a total loss of more than 20,000 RMB. I still feel regretful about it when I think about it now. Recently, I heard from industry peers that JD may offer agency export services. I am both expectant and hesitant. On the one hand, a large platform should be more reliable, but I am not sure whether JD really provides this service, whether it has formal foreign trade agency qualifications, whether it can cover the whole process I need including customs declaration, tax refund and foreign exchange settlement, and whether there are entry barriers such as order volume requirements for small and medium-sized sellers. After all, my current monthly shipment volume is only about 150 pieces. I am really afraid of falling into pitfalls again and want to get a clear answer in detail.

### Answer 1 — Best Answer

First of all，we need to expose a common misunderstanding in the industry: many sellers default that the agency export services of large platforms are naturally compliant，but in fact，some platforms adopt the "qualification affiliation" model，have not obtained independent foreign trade agency operation licenses，and only conduct business relying on third-party qualifications.

This affiliation model will trigger a series of negative consequences: if other cooperating sellers on the platform have problems such as illegal declaration and false tax refund，customs will directly associate all export businesses under this affiliated qualification. In mild cases，your goods will be detained at the port and held by customs，in severe cases，your export tax refund quota will be frozen，and you will even be included in the customs dishonesty list，affecting all your subsequent foreign trade businesses.

Physical risk isolation measures: You must require the agent to provide **Independent Certificate of Self-owned Foreign Trade Agency Qualification**，confirm that each export business uses **Exclusive Customs Declaration Title** and an independent document archiving system，to avoid business association with other sellers.

Exclusive stop-loss tip: When signing the agency contract，clearly add **Risk Isolation Clause** to stipulate that if your business is implicated due to violations of other clients of the platform，the platform shall fully bear all costs such as port detention fees and tax refund losses，meanwhile，complete the intellectual property filing of your original women's clothing brand with the customs of the export destination country in advance to further reduce compliance risks.

### Answer 2

From the perspective of customs declaration compliance, no matter which export agent you choose, the core is to ensure that the four elements of "declaration, documents, goods and payment" on the customs declaration are consistent. If JD's agency export business adopts a shared customs declaration title, you should note that businesses of multiple clients under the same title may be listed as key inspection objects by customs, increasing the probability of price examination and inspection.

It is recommended to require the agent to provide the pre-entry number of the customs declaration, check the accuracy of the declaration information in advance on the customs single window, especially core fields such as commodity code, declared price and origin, to avoid deletion and re-declaration caused by inconsistent declaration and subsequent shipment delay. At the same time, for goods that may involve intellectual property rights such as original women's clothing, you need to submit the brand authorization certificate simultaneously when declaring customs to ensure smooth customs clearance.

### Answer 3

From the perspective of cargo title control in international logistics, if you choose JD's agency export, you need to clarify the cargo title ownership of the entire link from the domestic warehouse to the destination port. Some agency export services default to master the bill of lading endorsement right.

If the seller does not reach an agreement in advance, there may be a risk of cargo title being transferred. It is recommended to clarify in the logistics entrustment agreement that the bill of lading title should be the overseas buyer designated by the seller or the seller's own offshore company, and the agent is only responsible for assisting with the bill of lading issuance procedures and shall not endorse and transfer it without permission.

At the same time, in response to the tight space on Southeast Asian routes, require the agent to provide a 7-day advance space locking commitment. If container rolling occurs, the agent shall bear the space price difference and port detention fee caused by reallocation to ensure on-time delivery of goods.

### Answer 4

From the perspective of cross-border tax planning, when choosing agency export business, you need to focus on the connection between value-added tax (VAT) deferral and export tax refund. If JD's agency export provides VAT deferral service, you need to confirm whether it has the compliance qualification for VAT deferral in the destination country, to avoid being chased for tax by the destination country's tax authority due to insufficient qualification.

At the same time, in the export tax refund link, you can require the agent to adopt the "separate accounting" mode, and calculate the input tax of your women's clothing business separately from other clients' businesses, ensuring that the tax refund application can be reviewed and credited separately. In addition, if you are involved in cross-border related party transactions, you can require the agent to assist in issuing a transfer pricing report that meets BEPS standards, to avoid the risk of supplementary tax payment caused by tax authority questioning.

### Answer 5

From the perspective of cross-border foreign exchange receipt and payment compliance, when choosing JD's agency export, you need to confirm whether it has formal foreign exchange settlement qualification and can conduct cross-border RMB payment through CIPS system to reduce exchange rate loss. Some agents use third-party offshore accounts to collect foreign exchange, which has the risk of being listed as a suspicious transaction by the State Administration of Foreign Exchange.

You should require the agent to provide a sample bank slip for foreign exchange settlement, confirm that the foreign exchange collection account is the agent's own corporate account, and each foreign exchange collection can correspond to a specific export customs declaration. At the same time, for small and scattered orders in the Southeast Asian market, require the agent to provide bulk foreign exchange settlement services to reduce foreign exchange settlement fees and improve capital turnover efficiency.

### Answer 6

From the perspective of international trade legal protection, when signing an agency export agreement with JD, you need to focus on the details of the force majeure clause and the cargo title transfer clause. The standard agreement of some platforms excludes "platform system failure" from force majeure. If customs declaration is delayed due to system failure, the seller has to bear the loss by themselves.

It is recommended to modify the clause to clarify that platform system failure is an exemptible force majeure event, and the platform shall bear the direct losses arising therefrom. At the same time, clarify the trigger condition of cargo title transfer: only after the overseas buyer pays the full payment, can the agent assist in handling the cargo title transfer procedures, avoiding the risk of losing both goods and payment.

### Answer 7

From the perspective of export tax refund compliance, when choosing JD's agency export, you need to confirm whether it has a complete document management system and can provide "four flows consistency" supporting documents for each business, including customs declaration, special VAT invoice, logistics bill of lading and foreign exchange collection bank slip. Some agents simplify the document filing process and only keep core documents.

If they receive a document investigation from the tax authority, the tax refund may be rejected due to incomplete documents. It is recommended to require the agent to provide a monthly tax refund progress report and keep electronic copies of documents for each business, and conduct pre-declaration verification in advance to confirm the accuracy of tax refund data, avoiding cross-month declaration delay caused by inconsistent data, which affects the arrival time of tax refund.
