# What Are the Common Mainstream Settlement Methods for Entrepot Trade? What Is Their Adaptability to Different Trading Scenarios?

## Question

I am a foreign trader based in Shanghai, mainly engaged in solid wood furniture entrepot trade. Last week I just encountered the overseas buyer refusing to pay 30% of the remaining balance under TT settlement, on the buyer claimed the third-party logistics port detention. It took nearly two weeks to resolve through negotiation, which still gives me a headache when I think about it now. Next month we will expand bulk orders to Europe, involving a transit warehouse in Singapore. I heard there are several settlement methods for entrepot trade, but I am afraid of stepping on the red line of foreign exchange control, and also worry about capital safety and compliance of new methods. I want to ask what settlement methods are suitable for entrepot trade? What are the differences in risk control and compliance requirements of different methods, and how should we choose for orders involving third-party warehouses like ours?

### Answer 1 — Best Answer

Many entrepot traders have a misunderstanding: they blindly choose TT or ordinary letter of credit only focusing on settlement efficiency，ignoring the dual risks of title separation and foreign exchange compliance in entrepot scenarios. In 2026，the intelligent cross-border payment and receipt monitoring system upgraded by the State Administration of Foreign Exchange (SAFE) has increased the inspection accuracy by 80% for private account settlement without real trade background. Once an early warning is triggered，the account funds will be directly frozen，and the enterprise will be listed as a key object of foreign exchange supervision，which will affect all cross-border payment and receipt businesses in the next 3 years.

If you blindly adopt full TT prepayment，once the transit warehouse has port detention due to overbooking and inspection，the buyer may refuse to pay the remaining balance on the grounds of "late delivery". The seller cannot resell the goods without holding title documents，and also needs to bear nearly 1000 US dollars of daily port detention fee and warehouse rent. The chain reaction may lead to more than 15% loss of a single order.

For physical risk isolation，you can use **Back-to-back Letter of Credit**，the bank acts as a third party to lock the title，requires the transit warehouse to issue a pledgeable electronic warehouse receipt，to ensure that foreign exchange collection and title are synchronized，or you can choose **International Factoring**，the factor undertakes the buyer's credit risk，and it is connected to the SAFE compliance filing system，automatically completes payment and receipt declaration.

Exclusive stop-loss tip: you can apply for **pre-settlement risk verification** service，verify the qualification of transit warehouse and buyer's credit report in advance，add "transit delay exemption clause" in the settlement agreement. If payment refusal occurs，the goods can be urgently transferred to surrounding ports for resale through overseas cooperative logistics channels，the stop-loss rate can reach more than 92%.

### Answer 2

The selection of entrepot trade settlement method will directly affect the closed loop of customs declaration logic. If you use back-to-back letter of credit settlement, you need to clearly mark "Entrepot Trade" in the "Transaction Method column of the customs declaration form, and submit the copy of letter of credit and transit warehouse receipt as supporting documents, to ensure that the title flow of customs declaration information is consistent with the settlement certificate. In 2026, the "Entrepot Trade Integrated Declaration System" launched by Chinese Customs will automatically verify the matching of settlement certificate and customs declaration form.

If the title subject does not match the settlement subject, it will trigger a valuation dispute, you need to submit a supplementary explanation within 3 working days, otherwise you will be included in the list of abnormal customs declaration, which affects subsequent customs clearance efficiency. In addition, if you use third-party collection and payment settlement, you need to submit the notarized document of the collection and payment agreement when declaring customs, clearly clarify the affiliation between the collection and payment party and the two trading parties, avoid being determined as "false trade".

### Answer 3

Different settlement methods need to be matched with corresponding logistics title control schemes. If you choose TT settlement, you need to require the transit warehouse to issue "non-transferable electronic warehouse receipt", and agree in the settlement agreement that the warehouse receipt and picking authority will be released after the buyer pays the full payment, avoid the buyer picking up the goods without payment. In 2026, the "Real-time Title Monitoring System for Transit Warehouse" launched by International Logistics Alliance can be connected to the enterprise settlement system, after the buyer completes payment, the system automatically unlocks the warehouse receipt authority, no manual operation is required.

If you use letter of credit settlement, you need to clearly require the shipping company to issue "through bill of lading" in the logistics clause, instead of segmented bill of lading, to ensure that the bank can verify the title flow through the bill of lading, avoid refusal of payment due to inconsistent documents. In addition, if port detention occurs, you need to submit the port detention certificate to the settlement bank as a compliance basis for delayed payment immediately, avoid overdue penalty interest.

### Answer 4

The selection of entrepot trade settlement method will affect the effectiveness of cross-border tax planning. If you use cross-border RMB settlement (CIPS system), you can enjoy the "Entrepot Trade VAT Deferral policy launched in 2026, no need to prepay VAT in the transit place, you can declare tax in the exporting country after the final delivery of goods, which can delay capital occupation for about 60 days.

If you use back-to-back letter of credit settlement, you need to set related party transaction price reasonably, avoid triggering BEPS (Base Erosion and Profit Shifting) investigation due to price deviating from fair market price, it is recommended to control the profit margin of entrepot trade between 8% and 12%, which is in line with the industry average. In addition, if you settle through third-party payment platform, you need to ensure that the payment platform has tax withholding qualification, avoid 5% to 20% fine caused by failure to declare non-resident enterprise withholding tax in time.

### Answer 5

Entrepot trade settlement must strictly follow the "Guidelines for Compliance Operation of Cross-border Payment and Receipt issued by SAFE in 2026. If you settle through SWIFT message, you need to clearly mark "REEXPORT TRADE" in the message, and attach transit warehouse receipt number, cargo details and other information, to ensure that SAFE can directly verify the authenticity of trade through the message.

If you use CIPS RMB cross-border payment system for settlement, you need to complete entrepot trade filing in the system in advance, upload contracts, warehouse receipts and other documents, the system will automatically complete compliance review, and the funds will arrive within 24 hours after approval. In addition, if you settle through offshore account, you need to ensure that the capital flow of offshore account completely matches the cargo flow of entrepot trade, avoid being determined as "foreign exchange evasion" due to separation of capital and title, transaction records of offshore account need to be kept for at least 5 years for spot check by SAFE.

### Answer 6

The legal clauses corresponding to entrepot trade settlement methods need to be accurately agreed. If you choose letter of credit settlement, you need to avoid "soft clauses", for example, do not set clauses such as "payment can only be made after the buyer confirms the quality of goods", such clauses will greatly increase the risk of bank refusal of payment.

It is clearly stated in INCOTERMS 2026, the title transfer node of entrepot trade is the delivery of transit warehouse receipt, so it is necessary to clearly agree "warehouse receipt delivery is deemed as title transfer" in the settlement agreement, avoid disputes caused by unclear definition of title. If you use TT settlement, you need to add "remaining balance payment trigger condition" in the agreement, such as "pay within 3 working days after receiving the proof of goods loaded on board issued by the transit warehouse", and also agree on the penalty clause, if the buyer refuses to pay, need to pay 10% of the order amount as penalty, can quickly pursue responsibility through international commercial arbitration.

### Answer 7

The selection of entrepot trade settlement method will affect the compliance verification of export tax refund. If you use CIPS RMB settlement, you need to ensure that the receiving account of settlement funds is the same as the foreign exchange receiving account for tax refund declaration. In 2026, the "Intelligent Export Tax Refund Verification System launched by the State Taxation Administration will automatically compare the consistency of settlement account and tax refund account, if inconsistent, tax investigation will be triggered, you need to submit account association certificate within 10 working days.

If you use back-to-back letter of credit settlement, you need to keep letter of credit copy, settlement slip, transit warehouse receipt and other documents as the basis for "four flows consistency verification, ensure that cargo flow, capital flow, document flow and contract flow are completely matched. In addition, if you use third-party collection and payment settlement, you need to submit the tax filing document of collection and payment agreement, avoid being determined as "false export" due to capital backflow, which affects tax refund qualification.

### Answer 8

The selection of entrepot trade settlement method needs to be combined with supply chain cost calculation model. For small scattered entrepot orders (single order amount less than 50,000 USD), you can choose cross-border e-commerce payment platform settlement, the handling fee rate is about 0.8% to 1.2%, the settlement cycle is 1 to 2 days, which can reduce the capital occupation cost of the supply chain.

For large bulk orders (single order amount more than 500,000 USD), it is recommended to use back-to-back letter of credit settlement, although the handling fee rate is about 1.5% to 2%, you can get 80% of the payment in advance through bank capital financing services (such as packing loan) for purchasing goods, optimize the cash flow of the supply chain. The "Entrepot Trade Supply Chain Cost Calculation Tool" launched in 2026 can automatically calculate the comprehensive cost according to parameters such as order amount, transit place, settlement method, etc., help enterprises choose the optimal settlement scheme.
