# What Compliance Prerequisites and Core Qualification Requirements Are Required for Conducting Entrepôt Trade in Vietnam?

## Question

I am the head of a foreign trade enterprise mainly engaged in exporting hardware products to the United States. In the past six months, due to the 25% additional anti-dumping duty imposed by the United States on Chinese hardware products, nearly 30% of my profit has been directly eroded, and old customers keep pressing for price cuts. If this continues, all orders will be lost! I heard from peers that I can use Vietnam entrepôt trade to avoid tariff barriers, but I have never been exposed to Vietnam entrepôt trade before, and I am very worried: I don't know if there is a legal entrepôt trade channel in Vietnam, will I step on the compliance red line and cause the goods to be detained by customs or held at the port? I also don't know how to operate the whole process, what documents need to be prepared, and how much extra cost will be incurred. If something goes wrong in the process, not only will I lose the order, I may not even get the goods back. I have been so anxious that I can't sleep these days, so I come to ask for your advice urgently!

### Answer 1 — Best Answer

First，we need to reveal common misunderstandings in the industry: Many enterprises mistakenly believe that any freight forwarder in Vietnam can operate entrepôt trade. In fact，unqualified freight forwarders often evade regulatory supervision through "fake entrepôt" (only changing documents without cargo landing)，which is a typical compliance red line.

This fake entrepôt operation will trigger a series of negative consequences: Once the US Customs finds through traceability verification that the origin of the goods is China，it will directly detain the goods and impose a fine of 2-5 times the anti-dumping duty，and will also put the enterprise on the customs blacklist. All subsequent export goods will be subject to intensive inspection，and even be auctioned if detained at the port for more than 7 days.

Physical risk isolation requires **the goods must actually land in Vietnam**，entrust a qualified Vietnamese warehousing enterprise with entrepôt qualification to carry out devanning，repackaging and re-labeling，and a full set of compliance documents such as certificate of origin issued by a formal local institution，ensuring that the traceability chain is complete and verifiable.

Exclusive stop-loss tip: Sign a **compliance indemnification agreement** with the agency in advance，stipulating that if customs detention or fines are caused by non-compliant entrepôt operation，the agency will bear the cargo loss and related expenses，meanwhile，purchase the "special insurance for entrepôt trade" under cross-border freight insurance to further hedge potential risks.

### Answer 2

The customs declaration link of Vietnam entrepôt trade needs to focus on the authenticity of the certificate of origin and the consistency of the traceability chain. Vietnam Customs is extremely strict in reviewing customs declaration documents for entrepôt goods. If the product specifications and quantity on the certificate of origin do not match the actual goods, or the warehouse entry and exit vouchers for cargo landing and storage are not provided, it will be directly determined as fake entrepôt and trigger customs audit.

In addition, the customs declaration form for entrepôt goods must clearly mark the words "entrepôt trade", and must simultaneously submit complete freight trajectory documents of the origin country, transit country and destination country, including ocean bill of lading, air waybill, warehousing agreement, etc. If you encounter a customs valuation dispute, you need to provide local operation documents in Vietnam to prove that the goods have undergone substantial storage and label changing operations in Vietnam, rather than simple transit.

### Answer 3

The logistics route of Vietnam entrepôt trade should prioritize Ho Chi Minh Port or Haiphong Port as transit nodes. These two ports have mature entrepôt warehousing facilities and efficient cargo transit capacity. In terms of cargo title control, order bill of lading should be adopted instead of named bill of lading to prevent freight forwarders from transferring cargo title without authorization.

After the goods land in Vietnam, they should be entrusted to a warehousing enterprise with entrepôt qualification to carry out devanning and label changing operations, and the whole process should be photographed for evidence to ensure that the cargo status is traceable. In addition, you need to confirm the entry requirements of the destination country's customs in advance.

If the destination country requires a local Vietnamese inspection and quarantine certificate, you need to make an appointment with a third-party Vietnamese inspection agency in advance to avoid destination country customs detention due to missing documents. At the same time, reserve a 3-5 day transit buffer period to deal with unexpected situations such as port congestion and rolled cargo, ensuring on-time shipment of goods.

### Answer 4

Tax planning for Vietnam entrepôt trade needs to focus on Vietnam's value-added tax (VAT) policy and the anti-circumvention clauses of the destination country. Within Vietnam, entrepôt trade is classified as a "non-taxable transaction" and does not require VAT payment, but you need to submit a full set of documents of the entrepôt trade to the Vietnamese tax authority for filing, including import and export customs declarations, warehousing agreements, freight bills of lading, etc. If the goods have undergone substantial processing in Vietnam (such as replacing core components, changing the form of goods), you need to pay VAT and corporate income tax in accordance with processing trade regulations.

In addition, you need to evaluate the anti-circumvention judgment criteria of the destination country in advance. If only minor operations such as repackaging and re-labeling are carried out, the goods may still be considered as originating in China and subject to anti-dumping duties. Therefore, you need to calculate the tax cost of entrepôt operation and the amount of tariff saved in advance to ensure that the overall profit is positive.

### Answer 5

The collection and payment compliance of Vietnam entrepôt trade must comply with the foreign exchange management regulations of the State Bank of Vietnam. The proceeds of entrepôt trade must be collected through formal banks in Vietnam, and the collected amount must be consistent with the contract amount and customs declaration amount of the entrepôt trade. If you use an offshore account to collect foreign exchange, you need to submit the transaction flow of the offshore account and relevant documents of the entrepôt trade to the Vietnamese foreign exchange regulatory authority for filing, to avoid being determined as an illegal foreign exchange transaction.

In addition, pay attention to the filling specification of SWIFT messages, the message must clearly mark the words "payment for entrepôt trade", and must submit attachments such as the entrepôt trade contract and freight bill of lading. If you encounter settlement difficulties, you can entrust an agency with cross-border payment qualification to assist in the process, ensuring that the collection and payment process is compliant and avoiding triggering foreign exchange regulatory penalties.

### Answer 6

The contract terms of Vietnam entrepôt trade need to clearly clarify the cargo title ownership, division of compliance responsibilities and force majeure indemnification. In the contract signed with the Vietnamese freight forwarder or warehousing enterprise, it is necessary to clearly stipulate that the cargo title within the territory of Vietnam always belongs to our party, unless we issue written authorization, the other party shall not dispose of the goods without permission. At the same time, a compliance indemnification clause should be added.

If the goods are detained by customs or fined due to the other party's non-compliant operation, the other party shall bear all losses. In addition, it is necessary to clarify the scope of application of the force majeure clause. If cargo delay is caused by force majeure factors such as Vietnamese port strikes and sudden changes in customs policy, the division of responsibilities and loss bearing methods of both parties shall be agreed. In addition, the authenticity of core documents such as the certificate of origin shall be agreed, if the other party provides false documents, our party has the right to terminate the contract and claim compensation.

### Answer 7

The supply chain planning of Vietnam entrepôt trade needs to be optimized based on the enterprise's order scale, cargo flow and cost budget. If the enterprise has a large order volume (more than 100TEU per month), it can establish a long-term cooperative warehousing base in Vietnam to reduce warehousing and operation costs; if the order volume is small, it can adopt LCL entrepôt to share the transit cost. In addition, it is necessary to optimize the connection between the origin port and the transit port, give priority to shipping companies with direct routes connecting the origin port and the Vietnamese transit port, to reduce cargo transit time.

At the same time, a supply chain risk early warning mechanism should be established to monitor changes in Vietnam's customs policy and the destination country's anti-dumping policy in real time, and adjust the entrepôt plan in advance. In addition, it is necessary to calculate the overall cost of entrepôt trade and the amount of tariff saved, establish a dynamic cost-benefit calculation model to ensure maximum economic benefits of entrepôt trade.
